NEIGHBORS"
As you aware that starting with the current tax year, the Oakland County has s hall be
collecting their operating millage 100% in summer. That leaves only the thret: (your
taxing authorities) small millages to be collected in the winter season. The mi pages to be
collected.through the winter billing adds up to only 1.0461.
Unless you can find a way to levy your taxes in Summer, the costs for separatr: winter
billing and collection, shall have to be shared by the three of your authorities. [ would
wait for your decision before generating the summer tax bills. If you decide flat you will
have to bill only in winter for your 2007 levy, then be prepared to share the bi] ling and
collection costs.
I would also like to point out that in view of the Oakland County Treasurers' policy to
waive the delinquent taxes under $5 rather than returning these small amounts delinquent
and incurring more costs in trying to collect small amounts, you might have to incur
additional costs to comply with this policy by waiving small amounts of bills if they
remain unpaid after first billing.

First, the city of Ferndale has notified staff of their intention to
charge the Oakland County Parks for collecting our winter taxes.
Do they have the authority to do so?
Second, does the Oakland County Parks and Recreation
Commission have the ability to unilaterally make the determination
to move tax collection from winter to summer?
As discussed below, it is my opinion that the answer to both questions is "no."
The answer to your first question, regarding whether the city of Ferndale has
authority to "charge the Oakland Parks for collecting our winter taxes," is determined
by MCL 211.44, being Section 44 of The General Property Tax Act, 1893 PA 206,
MCL 211.1 et seq. Section 44, in pertinent part, states:
(1) Upon receipt of the tax roll, the township treasurer or other collector
shall proceed to collect the taxes. The township treasurer or other
collector shall mail to each taxpayer at the taxpayer's last known
address on the tax roll or to the taxpayer's designated agent a
statement showing the description of the property against which the
tax is levied, the taxable value of the property, and the amount of
the tax on the property.

THIS AGREEMENT made and entered into this day of 2007, by and between
Oakland County Board of Commissioners of 1200 N. Telegraph Rd Pontiac, MI 48341 hereinafter called Lessor (whether one
or more), and Sun_Valley Energy, L.L.C., a Delaware Limited Liability Company of 1500 Kendale Blvd Suite 303 East
Lansing, MI 48823, hereinafter called Lessee, WITNESSETH:
I. Lessor, for and in consideration of $10.00 and other valuable consideration and the covenants and agreements of the
Lessee hereinafter contained, does hereby grant, lease and let unto Lessee the land described below (herein called "said land"),
exclusively, for the purposes of exploring by geophysical and other methods, drilling, operating for, and producing oil and/or gas,
together with all rights, privileges and easements necessary in exploring for, drilling for, producing, treating, caring for, storing,
transporting and removing production of oil and/or gas from said land, or from said land pooled or communitized therewith, including
but not limited to the right to lay pipelines, build access roads, establish and utilize facilities for the disposition of oil and other fluids
construct tanks for the storage of fluids prior to shipment, build required electric power and communication lines, pumps, and other
equipment and facilities. Said land is in county of Oakland. State of Michigan and is described as follows:

containing 154.12 acres, more or less, including all lands and interests therein to which Lessor has a preference right of acquisition,
interests beneath adjacent roads to said land, and riparian and

adjacent. The term "oil' when used in this lease shall mean crude oil and other hydrocarbons in liquid form at the wellhead. The term
"gas" when used in this lease shall mean natural gas, casing -head gas, or any other substance in a gaseous state at the wellhead.
2. It is agreed that the lease shall remain in force for a primary term of Five (5) years from this date, and as long thereafter as
operations are conducted upon said land, or on lands pooled therewith, in an endeavor to produce oil and/or gas in commercial
quantities with no cessation for more than six (6) months. Whenever used in this lease the word "operations" shall refer to any of the
following activities performed by Lessee: preparing a location for drilling, drilling, testing, completing, reworking, recompleting,
deepening, plugging back or repairing a well in search for or in an endeavor to obtain production of oil and/or gas in paying quantities.
3. Lessee covenants and agrees to pay the following royalties: A. To deliver to the credit of the Lessor into tank reservoirs or
into the pipeline to which Lessee may connect its wells, one -eighth of the oil produced and saved from said land, or, at the option of
Lessee, Lessee may sell the oil produced and saved from said land at the prevailing market price and pay Lessor one -eighth of the
amount realized by the Lessee, computed at the wellhead, whether the point of sale is on or off the land. B. To pay Lessor on the gas
produced from said land when sold by Lessee, whether the point of sale is on or off said land, one -eighth of the amount realized by
Lessee, computed at the wellhead. Prior to payment of royalty, Lessor shall execute a Division Order setting forth Lessor's interest in
the production. Lessee may pay Lessor's proportional share of taxes levied by Federal, State, and local governments, and deduct the
amount so paid from monies payable to Lessor hereunder.
4. If any well, capable of producing oil and/or gas, located on said land, or on lands pooled or communitized with all or part
of said land, is at any time shut-in and production therefrom is not sold, nevertheless such shut-in well shall be considered a well
producing oil and/or gas and this lease will continue in force while such well is shut-in, whether before or after expiration of the
primary term. Lessee shall use diligence to market oil and/or gas capable of being produced from such shut-in well, and such well
shall be shut-in only for reasons beyond Lessee's control, including, but not limited to, reasons of equipment failure and repair work,
the time necessary for the construction of production equipment and installation of pipelines, lack of gas capacity on utility pipelines,
required governmental permits for the production of the well, and pending or on -going litigation related to the well or the production
therefrom_ For each well shut-in on said land, or on lands pooled or communitized with all or part of said land, within 30 days after
expiration of each period of one year in length (annual period) during which such well is shut-in, Lessee shall be obligated to pay or
tender, as royalty to Lessor, or to Lessor's credit in the U.S. Mail at the above address, or its successors, as Lessor's agent, the sum of
$1.00 multiplied by the number of acres subject to the lease, provided however, that if production from said well or wells is sold and
