The purpose of the public hearing was to adopt the Catalpa Oaks County Park Master Plan —
2008.
Oakland County Parks and Recreation Commission staff conducted an extended public comment
period for the Catalpa Oaks Master Plan and presented recommended revisions regarding field
layout to the Commission at the regularly scheduled meeting on November 12, 2008.
The Catalpa Oaks County Park Master Plan — 2008 was developed in response to needs and
deficiencies as identified by citizen surveys and input from county and local government

officials, and Oakland County Parks and Recreation Commission and staff. No questions were
asked, nor comments received by the public.

The corrections on the September activity report discussed at the November 12 meeting have
been noted, and adjustments have been made. Staff will review numbers for the grill room at
Glen Oaks and report at next meeting. The activity reports for October and November, FY 2009
were accepted.
AWARD PRESENTATIONS:
Katie Anderson, Executive Director of the North Oakland Headwaters Land Conservancy,
presented the 2008 Blue Heron Award to the Commission in recognition of its effort to preserve
park land and natural areas and open spaces while creating recreational opportunities for all the
people of Oakland County.
Recreation Supervisor Derenda Howard presented "Best Teen Program" award, as well as the
"Best Family Program" award received from the Michigan Recreation and Park Association
during the Programming Our World conference in November.
SHERIFF'S OFFICE LAW ENFORCEMENT SERVICES CONTRACT:
Moved by Mr. Jamian, supported by Mr. Crawford to approve the one-year renewal for
the Oakland County Sheriffs Office Law Enforcement Services contract.

Soils, Materials Engineers, Inc., in the amount of $167,300, for the identification of the
remediation project scope which includes the necessary remediation of the leaking
underground storage tank at Springfield Oaks Golf Course maintenance facility; thereby
increasing Springfield Oaks Golf Course Contributions Operating Revenue by $43,207;

increasing Springfield Oaks Golf Course Grounds Maintenance Expense by $141,717;
and decreasing contingency by $98,510.

CATALPA OAKS MASTER PLAN:
Moved by Mr. Gregory, supported by Mr. Crawford to approve the following resolution
to adopt the Catalpa Oaks County Park Master Plan — 2008.
WHEREAS, the Oakland County Parks and Recreation Commission has reviewed the
Catalpa Oaks County Park Master Plan — 2008; and
WHEREAS, the Catalpa Oaks County Park Master Plan — 2008 was developed in
response to needs and deficiencies as identified by citizen surveys and input from county and
local government officials, and Oakland County Parks and Recreation Commission and staff,
and
WHEREAS, the Catalpa Oaks County Park Master Plan — 2008 meets the Oakland
County Parks and Recreation Commission's long-range goals, objectives and financial funding
as identified in the Oakland County Parks and Recreation Master Plan Update — 2007 and the
Oakland County Parks and Recreation Commission Strategic Master Plan — 2008; and
WHEREAS, the goals and objectives will assist the Oakland County Parks and
Recreation Commission in guiding the operation of Catalpa Oaks County Park by lending
direction while remaining flexible to allow for adjustments in creative and responsible
management.

NEW BUSINESS:
—We were not funded this year for a Michigan Natural Trust Fund grant application that was
submitted in the spring. Based on the scores received, staff will address key issues and resubmit
the application in January 2009.
EXECUTIVE OFFICER'S REPORT:

In addition to the Executive Officer's report filed in the agenda, the following was also noted:
--A full-time staff person is now dedicated to the recruitment and training of all volunteers.
--The Tolliver property purchase at Waterford Oaks closed on December 5, 2008 in the amount
of $1.2 million dollars.
--There is currently a hiring freeze issued by the County of Oakland. Executive Officer Stencil
will present the need to hire 3-4 key positions to the Budget Task Force. The positions are
necessary to implement the strategic master plan.
--Executive Officer Stencil commended the commission for 100% attendance to the commission
meetings this year. The participation and support from the commission is very valuable and
appreciated by the staff.
--Executive Officer Stencil invited the commission to attend the staff Christmas Party which will
be held on Friday, December 19 at noon at the Waterford Oaks Activity Center. Please R.S.V.P.
to Joan or Lynn by December 12.
PRESENTATION:
Chairman Lewis and Executive Officer Stencil recognized Commissioners Hugh Crawford,
Vincent Gregory and Eileen Kowall for their years of service to the parks commission, and
presented each of them with a plaque and a gold card.
Meeting adjourned at 11:12 a.m. The next meeting is scheduled for 9 a.m. on Wednesday,
January 14, 2009.

MICHIGAN NATURAL RESOURCES TRUST FUND (MNRTF)
2009 DEVELOPMENT GRANT APPLICATION
NATURAL AREAS ACCESSIBILITY PROGRAM
The Oakland County Parks and Recreation Commission has been notified that
applications for the Michigan Natural Resources Trust Fund (MNRTF) may be submitted
for 2009. Applications are to be postmarked by April 1, 2009.
Staff is recommending applying for financial assistance from the Michigan
Natural Resources Trust Fund (MNRTF) for the construction of accessible fishing
piers, wetland boardwalk trail connectors and wildlife viewing platforms at Rose,
Highland and Lyon Oaks.
Staff estimates a project cost of $500,000 including engineering, site preparation
and the installation.
Staff recommends applying for a $220,000 grant (44% of the total project costs)
with a local match of $280,000 (56%). (The 44/56% funding match maximizes the
point value of OCPR's contribution.)
Staff will conduct a power point presentation at the public hearing for this
proposal scheduled for the January 14, 2009 Commission meeting.

NATURAL AREAS ACCESSIBILITY PROGRAM
WHEREAS, the Oakland County Parks and Recreation Commission has
been notified by the Department of Natural Resources that application for cost
sharing grants from the Michigan Natural Resources Trust Fund may be
submitted by April 1, 2009; and
WHEREAS, the Oakland County Parks and Recreation Commission has
identified and established priorities for acquisitions and improvements within the
adopted Recreation Master Plan; and
WHEREAS, the Oakland County Parks and Recreation Commission
recommends the filing of the following application to the Department of Natural
Resources for matching grant:
NATURAL AREAS ACCESSIBILITY PROGRAM
NOW THEREFORE BE IT RESOLVED THAT THE Oakland County Parks
and Recreation Commission recommends submission of the above -said grant
application with the appropriate matching funds to be designated from the one -
quarter mil for parks.

RIGHT OF FIRST REFUSAL AGREEMENT
Attached is the Right of First Refusal Agreement developed for use as it relates to
property acquisitions, prepared by Oakland County Corporation Counsel. Jody Hall,
Assistant Corporation Counsel, will be in attendance to answer any questions.

Right of First Refusal Agreement
This Agreement is made on [insert date], by [insert name and address of owner],
("Owner") and the County of Oakland, a Michigan Municipal and Constitutional
Corporation, 1200 North Telegraph Road, Pontiac, Michigan 48341 ("Purchaser") for the
purpose of granting Purchaser a right of first refusal for a tract of land described as
follows: [insert land/legal description] (the "Premises") pursuant to the following
terms and conditions:
Right of First Refusal.
a. If at any time, Owner receives a bona fide written offer from any party to
purchase the Premises in whole or in part, Owner shall send Purchaser a
copy of the proposed contract to purchase and notify Purchaser of its
intention to accept the offer. Purchaser shall have the right for a period of
[insert number of days] days to accept in writing the terms of the proposed
contract to purchase the Premises for the purchase price and on the terms
specified in the proposed contract. If Purchaser fails to select to make the

the Parties may renew this Agreement for one (1) year.
5. Default. If Owner enters into an assignment, sale, transfer, conveyance, lease
with a term (including both primary and option period) in excess of one (1) year,
or lease with an option to purchase in conflict with this Agreement, Purchaser
may, at its option, have a court of competent jurisdiction declare this Agreement
breached and order that the assignment, sale, transfer, conveyance, or lease by
Purchaser is void. This provision shall not be construed to prevent specific
performance of this Agreement or of any of its terms by either Party.
6. This Agreement shall not restrict Owner's right to mortgage, grant easements, or
grant a lease or leases without an option to purchase and for a term (including
both primary and option periods) not in excess of one (1) year. Nor shall this

Agreement restrict or prohibit transfers by operation of law, or transfers between
Owner and Purchaser.
7. Termination. This Agreement shall terminate on [insert date of termination] or
upon written mutual agreement of the Parties.
8. Binding Effect. This Agreement and its provisions shall inure to the benefit of
the Parties and shall be binding on the Parties and their heirs, legal
representatives, successors, and assigns.

to the Purchaser.
11. Fee. To exercise the right of first refusal or option contained in this Agreement,
Purchaser shall not be required to pay a fee.
12. Memorandum. The Parties to this Agreement shall execute a Memorandum of
Agreement which Purchaser shall record, at its cost, at the Oakland County
Register of Deeds.
13. Entire Agreement. This Agreement represents the entire Agreement and
understanding between the Parties. This Agreement supersedes all other prior
oral or written understandings, communications, agreements or contracts
between the Parties. The language of this Agreement shall be construed as a
whole according to its fair meaning, and not construed strictly for or against any
Party.

Updates for the first quarter of FY2009 will be provided by Joan Daniels, Buyer
II for Oakland County Purchasing, and Mike Donnellon, Chief of Park Facilities
Maintenance and Development for Capital Improvement Projects.

REQUEST FOR PARCEL COMBINATION AND SPLITTING
WATERFORD OAKS COUNTY PARK
With the recent parcel acquisitions, Waterford Oaks contains 17 parcels of land,
ranging in size from half acre to 87 acres, for a total of 177.59 acres. The Oakland
County Parks and Recreation — Administrative Complex and Oakland County Children's
Village Complex is located on one 19-acre parcel. Combining and splitting these
parcels will assist in the development of the Asset Management Plan for the protection
of natural resources and any potential park development or renovations.
With the assistance from Property Management Specialist Mike Hughson, staff
has contacted a representative from the Children's Village complex and anticipates no
objection.
Therefore, staff recommends the approval of the following resolution.

WHEREAS, the County of Oakland is the owner of Waterford Oaks County Park located
in Waterford Township; and
WHEREAS, staff is currently working on the Master Plan Revision for Waterford Oaks
County Park; and
WHEREAS, Oakland County Parks and Recreation has recently acquired several
parcels of land adjacent to Waterford Oaks County Park; and
WHEREAS, with the additional properties the land described as Waterford Oaks County
Park contains 17 separately described and registered parcels comprising of 177.599 acres of
land; and
WHEREAS, the Oakland County Parks and Recreation - Administration complex is
located on a parcel of land that is shared with the Oakland County Children's Village complex;
and
WHEREAS, combination of these parcels and splitting of the parcel of land where the
Oakland County Parks and Recreation — Administration complex is located, will assist in the
effective management of this land for the protection of natural resources, potential development
or renovation of this land; and
WHEREAS, this effort is consistent with the Strategic Plan Objective 2.1, in the
development of an asset management plan for Oakland County Parks & Recreation
NOW THEREFORE BE IT RESOLVED the Oakland County Parks and Recreation
Commission hereby requests the Oakland County Board of Commissioners authorize and
approve the combination and splitting of said parcels of land into one parcel of land, contingent
upon the approval of said combination and splitting of the parcels of land by Oakland County
Corporation Counsel.

B. Correction to Activity Report for the Glen Oaks Grill Room totals are as follows:

C. Staff will provide an update on the Verizon antennae at Springfield Oaks at the meeting.
D. Staff met with developers from the Baseball Heroes of Oakland County, LLP, an organization
developing the 11.201 acre property in Waterford at the intersection of Summit Drive and Mall
Drive East as a Sporting and Entertainment Center. Staff would consider partnering with this
organization for programming support only. No capital development dollars will be obligated
toward this development. The proposal will be available at the meeting for review.
