INTRODUCTION AND BACKGROUND
LeadsOnLine is the largest vendor in the nation that provides this nation-wide service. Currently, 73
law enforcement agencies within CLEMIS subscribe to LeadsOnLine. As LeadsOnLine is rooted in
these agencies’ daily operations of monitoring local pawn shops that are under mandatory reporting
requirements, a change to a different service provider would cause undue disruptions to the
agencies’ operations.
LeadsOnLine is a subscription service with pricing based on the size of the law enforcement
agency. Under the original contract CLEMIS leveraged its full membership to receive reduced
costs for all CLEMIS members. CLEMIS holds the contract and bills the participating agencies
quarterly based on the number of FTE’s to recover the cost of the contract. It is a net zero cost to
CLEMIS.
In preparation of a new contract, a contract amendment was completed on February 15, 2023. The
amendment aligned the expiration dates of all 73 participating agencies. On top of the original offer
of ~ 20% less than market costs, we have negotiated an additional 4% reduction in year one and
reduced the increases in years 4 and 5 from 5% to 3%, for an additional savings of $113,155. The
total savings over market cost is $562,684.
LeadsOnLine LLC is the national leader for operating and providing a cloud-based nationwide
pawnshop database to aid with confidential investigations exclusively for law enforcement agencies
to identify merchandise and/or persons suspected to have been involved in criminal activity. The
current contract between Oakland County and LeadsOnLine LLC expires on 09/30/23 and the
Departments of Information Technology and Purchasing have negotiated a new five-year contract at
an estimated total cost of $1,930,157. The Purchasing Terms and Conditions state in Section
2400.6 Duration of Contracts and under Procedure states “The Board of Commissioners shall
approve contracts beyond five years”.

MASTER AGREEMENT BETWEEN OAKLAND COUNTY,
THROUGH ITS CLEMIS DIVISION AND LEADSONLINE
FOR CLEMIS MEMBER BENEFIT PROGRAM
This LeadsOnline, LLC AGENCY AGREEMENT ("Agreement"), is made effective on the date executed
by both parties (the “Effective Date”), between Oakland County, through its Courts and Law
Enforcement Management Information System (“CLEMIS”), and LeadsOnline LLC ("Leads").
SCOPE OF AGREEMENT
Leads operates and maintains at its web site a confidential investigations system accessible
electronically exclusively by Law Enforcement Agencies for the sole purpose of identifying
merchandise and/or persons suspected to have been involved in crimes.
CLEMIS desires to provide the electronic system for use by Members to support Members’
investigations.
Subject to the terms of this Agreement and in consideration of the mutual covenants stated below,
the parties agree as follows:
1. Definitions
1.1 "Authorized Officials" means duly authorized law enforcement personnel of Member as well
as CLEMIS Technical and Support Staff.
1.2 "Data" includes but is not limited to the ticket number, item number, make, model, property
description and serial number of merchandise sold to a Dealer or used as loan collateral by
a Secondhand Dealer, and other non-public personal information pertaining to any
customer(s) involved in the aforementioned transactions (including for example, customers’
names, addresses, identification numbers and any images collected by Dealer during course
of a transaction as required by applicable Michigan statutes and applicable local
ordinances).
1.3 "Law Enforcement Agency" means any municipal, county, state or federal government
staffed and operated agency whose primary purpose is criminal investigation and/or law
enforcement.
1.4 "Secondhand Dealer" as defined by Michigan statutes and corresponding regulations under
applicable local ordinances and furnishes Data relative thereto to Leads for inclusion in
Leads’ database.
1.5 "Scrap Metal Dealer" as defined by Michigan statutes and corresponding regulations under
applicable local ordinances, and furnishes Data relative thereto to Leads for inclusion in
Leads’ database.
1.6 “Scrap Metal” includes materials purchased by Scrap Metal Dealers including but not limited
to iron, brass, wire, cable, copper, bronze, aluminum, platinum, lead, solder, steel, catalytic
converters.

1.7 “Dealer” as defined by any of the following Statutes or applicable local ordinances: The
Secondhand Dealers and Junk Dealers Act, Public Act 350 of 1917; the Non-Ferrous Metal
Regulatory Act, Act 429 of 2008; the Pawnbroker Act, Public Act 273 of 1917; The Precious
Metal and Gems Act, Public Act 95 of 1981 and applicable regulations under local
ordinances.
1.8 “Member(s)” are Law Enforcement Agency(ies) that are active CLEMIS Member Agency(ies)
and have been authorized by Leads to utilize Leads’ website according to the terms of its
Agency Agreement for CLEMIS Members. Current Members are listed on the Attached and
Incorporated Exhibit B.
2. Agreements and Responsibilities of CLEMIS
2.1 CLEMIS shall notify Leads of any additions or subtractions to its Member List within twenty (20)
days of the change. CLEMIS and Leads shall execute an amendment to this Agreement to
reflect any Members change by updating “Payment Schedule”, Exhibit B. CLEMIS
understands that before a Member may utilize Leads’ System, the Member must execute an
Agency Agreement with Leads. An example of an Agency Agreement is attached and
incorporated as Exhibit C, “LeadsOnline Agency Agreement with CLEMIS Members”.
2.2 CLEMIS shall inform its Members that it has an Agreement with Leads to provide the services
described herein. Members who had a current contract with Leads prior to entering into the
Agency Agreement for CLEMIS Members, shall receive a usage credit for the remaining
balance of their payment and shall have their Member Agency Agreement extended for the
unexpired term of the pre-existing contract.
2.3 CLEMIS shall pay Leads the amount shown in the current Exhibit B. CLEMIS is responsible for
billing and collecting all fees from Members during the term of this Agreement.
2.4 CLEMIS Technical and Support Staff are Authorized Officials of CLEMIS who will access Leads’
website for the sole purpose of training and troubleshooting service issues on behalf of
Members. LeadsOnline will maintain primary responsibility for support and training of
Authorized Users within Member agencies.
2.4.1 Criminal Justice Information (CJI) means data or information governed by the CJIS
Security Policy.
2.4.2 Criminal Justice Information Services (CJIS) means the Criminal Justice Information
Services, a division in the Federal Bureau of Investigation (FBI) that sets a minimum
standard of security requirements to protect and safeguard CJI.
2.4.3 CJIS Security Policy means the Policy that governs the security of CJI. The CJIS Security
Policy provides guidance for the creation, viewing, modification, transmission,
dissemination, storage, and destruction of CJI. This Policy applies to every individual—
contractor, private entity, noncriminal justice agency representative, or member of a
criminal justice entity—with access to, or who operate in support of, criminal justice
services and information.
2.4.4 Leads and CLEMIS shall comply with the current version of the CJIS Security Policy,
which may be amended from time to time by the CJIS Advisory Policy Board of the

2.5 CLEMIS agrees to not divulge Data or information obtained through CLEMIS’s access to
Leads’ web site to anyone other than Authorized Officials and persons with a Member’s
agency entitled to receive the Data or information pursuant to statute, rule or regulation,
including specifically the GLBA or FOIA as applicable.
2.6 CLEMIS agrees to not access information from Leads’ web site for purposes of gathering
information for any third party, including private parties and non-Member Law Enforcement
Agencies.
2.7 CLEMIS agrees that only CLEMIS Technical and Support Staff will be permitted to use the
passwords or otherwise access the electronic system at Leads’ web site. CLEMIS will notify
Leads via email to support@leadsonline.com when CLEMIS Technical and Support Staff leave
the agency, change duties, or are otherwise no longer authorized to access Leads’
investigations system.
2.8 CLEMIS agrees not to use the Data or information displayed at Leads’ web site for any
unlawful purpose, or in any manner, which may create liability for Leads or Dealers. CLEMIS
agrees its use of the Data or information contained at Leads’ web site will not be other than
as permitted by law or the rights duly granted to CLEMIS in carrying out its official duties as
specified herein.
3. Agreements and Responsibilities of Leads
3.1 Leads agrees to operate and maintain an electronic investigations system at its web site for
the purpose of receiving and disseminating Data from Dealers for the use of CLEMIS Member
Agencies and other Law Enforcement Agencies.
3.2 Leads agrees to provide system capabilities for Members in accordance with Exhibit “A”,
“System Capabilities”, which is attached and incorporated into this Agreement.
3.3 Leads agrees to implement reasonable efforts to perform, as well as developments and
modifications to Leads’ web site and on Leads’ infrastructure in a manner that is not disruptive
to CLEMIS.
3.4 Leads’ user security/access administration, client support and training is available to CLEMIS
Members at no additional cost when performed by telephone or email between the hours of
7:30 AM and 5:30 PM Central Time. CLEMIS may request Leads to travel to CLEMIS’s location
for specialized training and support. Special services including after-hours support and on-site
training may be provided upon mutual agreement, and may include rates for time, materials,
travel, and miscellaneous expenses as agreed upon by the parties.
4. Term
4.1 This Agreement will become effective as of the Effective Date set forth above and remain in
effect until March 30, 2023 (the “term”) or until termination by Leads or CLEMIS as described
below. CLEMIS will pay annual subscription fees according to the “Fee Schedule” set forth in
Exhibit B which is incorporated herein. Fee prices shown in Exhibit B are based on the number
of full-time employees working for each Member agency as published annually by the
Michigan State Police. If the number of full-time employees working for each Member agency
as published annually by the Michigan State Police changes, Leads may change the fee
price for that Member agency, no more than one time per year, based on the change in the

number of full-time employees working for that Member agency after Leads provides sixty
(60) days written notice to CLEMIS and the Member agency.
4.2 Leads will maintain records of CLEMIS Members that currently subscribe to Leads’ service, and
will continue providing service to these agencies for the remaining months of each agency’s
service period following termination of this Agreement by either party.
4.3 The pricing as shown in Exhibit B will increase by 5% for each agency beginning April 1,
2019, and again by 3% beginning April 1, 2021.
4.4 Termination for Convenience. Either party may terminate or cancel this Agreement at any
time, upon providing one (1) years’ written notice to the other party, for any reason,
including convenience without incurring obligation or penalty of any kind. The effective
date for termination or cancellation shall be clearly stated in the notice.
5 Disclaimer of Warranties and Limitation of Liability
5.1 LEADS SPECIFICALLY DISCLAIMS ALL REPRESENTATIONS, CONDITIONS, AND WARRANTIES,
WHETHER EXPRESS OR IMPLIED, ARISING BY STATUTE, OPERATION OF LAW, USAGE OF TRADE,
COURSE OF DEALING, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO, WARRANTIES OR
CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, SATISFACTORY QUALITY, OR
FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO LEADS’ WEB SITE AND LEADS’ SERVICES
TO BE ACCESSED, USED OR DELIVERED PURSUANT TO THIS AGREEMENT. LEADS’ WEB SITE,
INCLUDING ALL DATA, CONTENT, SOFTWARE, FUNCTIONS, MATERIALS AND INFORMATION MADE
AVAILABLE ON OR ACCESSED THROUGH LEADS’ WEB SITE IS PROVIDED “AS IS” WITH ALL FAULTS
AND WITHOUT WARRANTY OF ANY KIND. LEADS DOES NOT WARRANT THAT THE FUNCTIONS
CONTAINED IN LEADS’ WEB SITE OR ANY DATA, MATERIALS OR CONTENT CONTAINED THEREIN
WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE LEADS’
WEB SITE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL
COMPONENTS. LEADS SHALL NOT BE LIABLE IN ANY MANNER OR IN ANY RESPECT FOR THE USE
OF LEADS’ WEB SITE BY CLEMIS, INCLUDING, WITHOUT LIMITATION, FOR THE ABSENCE OR
PRESENCE OF DATA OR CONTENT OR ANY ERRORS CONTAINED THEREIN.
6 Indemnification
6.1 Leads shall not be liable for any claims, damages and attorney fees arising from the negligent
or illegal acts of CLEMIS’s Employees arising out of or related to CLEMIS’s use of Leads’ web
site. CLEMIS Employees means employees of Oakland County or consultants working for
Oakland County.
6.2 CLEMIS shall not be liable for any claims, damages and attorney fees arising from the
negligent or illegal acts of Leads’ employees arising out of or related to operation or use of
Leads’ website. If both Leads and CLEMIS are liable for any claims, damages or attorney fees
arising from the negligent or illegal acts of the employees of Leads and CLEMIS under this
Agreement, Leads and CLEMIS shall be liable for the portion of the claims, damages and
attorney fees that arise from the negligent or illegal acts of that party as determined by the
court adjudicating the matter or as agreed in any settlement.
6.3 Leads shall indemnify, hold harmless, protect and defend CLEMIS and its officials, officers,
employees, agents and authorized volunteers (the “Indemnified Parties”) from and against
all losses, liabilities, judgments, costs, expenses, damages (including damages to the system),
attorney’s fees, and other costs, including all costs of defense, arising from all suits of law or

actions of every nature for or on account of the infringement of any trade secrets, patents,
trademarks, copyrights or other proprietary right of any other party by reason of the use or
integration of any proprietary materials, equipment, devices or processes, originally
incorporated, or provided and used, by Leads in the performance of the services provided
under this Agreement. Notwithstanding the foregoing, if the foregoing described losses,
liabilities, judgments, costs, expenses, damages and the like arise due to the misuse of the
Data or any other breach of this Agreement by CLEMIS, Leads’ liability under this paragraph
shall be reduced proportionately by the amount of loss, liability, judgment, cost, expense,
damage and the like arising due to such misuse or breach by CLEMIS.
7 Copyright/Reverse Engineering/Records Requests
7.1 Leads’ web site is protected by copyright as a collective work and/or compilation, pursuant
to U.S. copyright laws. The contents of Leads’ web site are only for the purpose described
herein. All materials contained on Leads’ web site are protected by copyright, and are
owned or controlled by Leads or the party credited as the Leads of the content. CLEMIS will
abide by any additional copyright notices, information, or restrictions contained in any
content on Leads’ web site.
7.2 CLEMIS agrees not to decompile or otherwise copy or use the Leads’ web site for purposes of
reverse engineering or reconstruction, and will not remove, overprint or deface any notice of
copyright, trademark, logo, legend, or other notices of ownership form any materials it obtains
from Leads or Leads’ system.
7.3 Data is not considered by the parties to fall into the category of public record unless otherwise
specified by law in CLEMIS’s jurisdiction. If Leads receives a request for records from parties
other than Law Enforcement Agencies, courts, or other official sources regarding CLEMIS
personnel or Data from CLEMIS’s jurisdiction, Leads will refer the request to CLEMIS. If any third
party requests CLEMIS to provide information involving Leads’ materials or Data, CLEMIS will
make reasonable efforts to limit disclosure to that which is specifically required by law to be
disclosed. CLEMIS will obtain, to the extent possible, confidential treatment for information by
any authority requiring delivery of information.
8 Miscellaneous
8.1 Leads may assign or delegate all or part of Leads’ rights or duties under this Agreement
without notice to CLEMIS. However, CLEMIS may immediately terminate this Agreement if the
Agreement is assigned to an entity where contracting with could create legal consequences
for Oakland County. (For example, an entity that is disbarred from doing work for the Federal
government and entities which receive federal grants.) CLEMIS may not make any
assignment of this Agreement without Leads’ prior written consent, which will not be
unreasonably withheld.
8.2 If any provision of this Agreement is held to be unenforceable, in whole or in part, such holding
will not affect the validity of the other provisions of this Agreement, unless Leads deems the
unenforceable provision to be essential to this Agreement, in which case Leads may
terminate this Agreement, effective immediately upon notice to CLEMIS.
8.3 Neither party will be liable for any failure or delay in performing an obligation under this
Agreement that is due to causes beyond its reasonable control, such as natural catastrophes,
governmental acts or omissions, laws or regulations, labor strikes or difficulties, transportation
stoppages or slow-downs.

8.4 Nothing in this Agreement, express or implied, is intended to confer upon any person, other
than the parties hereto, any benefits, rights, or remedies under or by reason of this Agreement.
There are no third-party beneficiaries. The only persons who may enforce this Agreement and
any rights under this Agreement are CLEMIS and Leads.
8.5 This Agreement shall be governed by and construed in accordance with the laws of the State
of Michigan, without regard to conflicts of laws provisions. Sole and exclusive jurisdiction for
any action or proceeding arising out of or related to this Agreement shall be in an appropriate
state or federal court located in the State of Michigan.
8.6 This Agreement constitutes the entire agreement between the parties, and shall supersede
all prior agreements and understandings, if any, between the parties respecting the subject
matter hereof.
8.7 In the event CLEMIS submits any work order, purchase order, performance or delivery request
or the like (the “Initiation Document”), any term or provisions contained therein which purports
to modify or enlarge the obligations or liabilities of Leads shall not be effective without the
express written consent thereto by Leads. The mere acceptance by Leads of an Initiation
Document and/or Leads’ performance or delivery of goods and services thereunder shall not
constitute or imply its consent to the modification or enlargement of its obligations and
liabilities under this Agreement.
8.8 E-Verify. In accordance with Miscellaneous Resolution No.09116 (BOC Minutes, July 30, 2009,
pp 37-38), unless otherwise exempted, all service contractors who wish to contract with
Oakland County to provide services must first certify they have registered with, will participate
in, and continue to utilize, once registered, the E-Verify Program (or any successor program
implemented by the federal government or its departments or agencies) to verify the work
authorization status of all newly hired employees employed by Leads. Breach of this term or
condition is considered a material breach of this Agreement. Leads’ execution of this
Agreement constitutes a certification that they are authorized to certify on behalf of Leads
and do hereby certify on behalf of Leads that Leads has registered with, has and will
participate in, and does and will continue to utilize once registered and throughout the term
of this Agreement and any permissible extension hereof, the E-Verify Program (or any
successor program implemented by the federal government or its departments or agencies)
to verify the work authorization status of all newly hired employees employed by Leads.
“E-Verify” means an Internet based system operated by the Department of Homeland
Security (DHS) in partnership with the Social Security Administration (SSA) that allows
participating employers to electronically verify the employment eligibility of their newly hired
employees. Information and the registration process are found at the E-Verify website:
https://e-verify.uscis.gov/enroll.
8.9 Iran-Linked Business Certification. Pursuant to Public Act 517 of 2012 (MCL 129.311, et seq.),
Leads certifies that it is not an Iran-Linked Business. Leads further certifies that it was not an
Iran-Linked Business at the time it executed this Agreement. Leads must promptly notify
CLEMIS, if Leads becomes an Iran-Linked Business at any time during this Agreement.
8.10 Conflict of Interest. Pursuant to Public Act 317 and 318 of 1968, as amended (MCL 15.301, et
seq. and MCL 15.321, et seq.), no contracts shall be entered into between Oakland County
and any Oakland County employee or agent. To avoid any real or perceived conflict of
interest, Leads shall identify any Leads employee or relative of Leads’ Employees who are

presently employed by Oakland County. Leads shall give CLEMIS notice if there are any
Oakland County employees or agents or relatives of Oakland County employees or agents
who are presently employed by Leads.
8.11 Section 508 Compliance. If Leads is providing a service or good that requires CLEMIS,
Members, or the general public to access a website, Leads warrants end users will have the
ability to access the website to register and provide information updates to receive the
services or goods herein in accordance with the accessibility requirements of Section 508
Amendment to the Rehabilitation Act of 1973 (29 U.S.C § 794(d)).
8.12 Insurance. At all times during this Agreement, Leads shall obtain and maintain insurance
according to the specifications listed in Exhibit D.

LEADSONLINE AGENCY AGREEMENT
FOR CLEMIS MEMBERS
This LeadsOnline, LLC AGENCY AGREEMENT ("Agreement"), effective, _____________, is made
between _________________ (“Member”) and LeadsOnline LLC ("Leads") and shall expire on
____________unless extended by the Parties.
SCOPE OF AGREEMENT
Leads operates and maintains at its web site a confidential investigations system accessible
electronically exclusively by Law Enforcement Agencies for the sole purpose of identifying
merchandise and/or persons suspected to have been involved in crimes.
Member is a member agency in Oakland County’s Courts and Law Enforcement Management
Information System (CLEMIS) and desires to utilize the electronic system to support its investigations
and agrees to use this electronic system to replace the current means of collecting paper
transactions from businesses in Member’s jurisdiction.
CLEMIS Members desire to designate LeadsOnline as a database and service provider for the
collection of applicable data from reporting businesses for the mutual benefit of all CLEMIS Members.
If Member has an unexpired Agency Agreement in place with LeadsOnline when this agreement
becomes effective the remaining months of the term of Member’s existing Agency Agreement may
be used following termination or suspension of this Agreement according to section 6.2.
Subject to the terms of this Agreement and in consideration of the mutual covenants stated below,
the parties agree as follows:
1. Definitions
1.1 "Authorized Officials" means duly authorized law enforcement personnel of Member.
1.2 "Data" includes but is not limited to the ticket number, item number, make, model, property
description and serial number of merchandise sold to a Dealer or used as loan collateral by
a Secondhand Dealer, and other non-public personal information pertaining to any
customer(s) involved in the aforementioned transactions (including for example, customers’
names, addresses, identification numbers and any images collected by Dealer during course
of a transaction as required by applicable Michigan statutes and applicable local
ordinances.
1.3 "Law Enforcement Agency" means any municipal, county, state or federal government
staffed and operated agency whose primary purpose is criminal investigation and/or law
enforcement.
1.4 "Secondhand Dealer" as defined by Michigan statutes and corresponding regulations under
applicable local ordinances and furnishes Data relative thereto to Leads for inclusion in
Leads’ database.
1.5 "Scrap Metal Dealer" as defined by Michigan statutes and corresponding regulations under
applicable local ordinances, and furnishes Data relative thereto to Leads for inclusion in
Leads’ database.

1.6 “Scrap Metal” includes materials purchased by Scrap Metal Dealers including but not limited
to iron, brass, wire, cable, copper, bronze, aluminum, platinum, lead, solder, steel, catalytic
converters.
1.7 “Dealer” as defined by any of the following Statutes or applicable local ordinances: The
Secondhand Dealers and Junk Dealers Act, Public Act 350 of 1917; the Non-Ferrous Metal
Regulatory Act, Act 429 of 2008; the Pawnbroker Act, Public Act 273 of 1917; The Precious
Metal and Gems Act, Public Act 95 of 1981 and applicable regulations under local
ordinances.
2. Appointment
2.1 Subject to the terms of this Agreement, Member hereby appoints Leads as its agent, as such
term is utilized in the Gramm-Leach-Bliley Act of 1999 (the "GLBA"), for the sole purpose of
collecting, maintaining and disseminating Data from Dealers. This agency appointment is
effective as of the registration date of Member’s initial user.
3. Agreements and Responsibilities of Member
3.1 Member agrees that Member's use of the Data displayed at Leads’ web site will be for the
purpose of identifying stolen merchandise and/or persons suspected of involvement in crimes
and for reporting purposes as required by applicable Statutes and Ordinances.
3.2 Member agrees to not divulge Data or information obtained through Member's access to
Leads’ web site to anyone other than Authorized Officials and persons with Member’s agency
entitled to receive the Data or information pursuant to statute, rule or regulation, including
specifically the GLBA or FOIA as applicable.
3.3 Member agrees to not access information from Leads’ web site for purposes of gathering
information from outside of Member’s jurisdiction for any third party, including private parties
and other law enforcement agencies.
3.4 Member agrees that passwords provided by Leads to Member enabling Member to utilize
Leads’ web site will be made known only to Authorized Officials of Member and that only
those Authorized Officials will be permitted to use the passwords or otherwise access the
electronic system at Leads’ web site. Member will notify Leads via email to
support@leadsonline.com when Authorized Officials leave the agency, change duties, or are
otherwise no longer authorized to access Leads’ investigations system.
3.5 Member agrees not to use the Data or information displayed at Leads’ web site for any
unlawful purpose, or in any manner, which may create liability for Leads or Dealers. Member
agrees its use of the Data or information contained at Leads’ web site will not be other than
as permitted by law or the rights duly granted to Member in carrying out Member's official
duties.
3.6 Member agrees to act in accordance with local laws and procedures when confiscating an
item found in a business outside of Member’s jurisdiction.
3.7 Member agrees to submit accurate information, including but not limited to valid identity of
Authorized Officials establishing accounts to access the system and Member case numbers
for specific items and/or suspects in conducting any search or use of Leads’ web site.

3.8 Member is responsible for insuring that Member’s hardware can connect to Leads’ website
via the Internet.
3.9 Member understands that all CLEMIS Members benefit by creating a central repository of
Data from Dealers in each member’s jurisdiction. Member agrees to make reasonable efforts
through official requests and enforcement of applicable law to encourage Dealers to report
electronically. Member is responsible for ensuring compliance among businesses in Member’s
jurisdiction.
4. Agreements and Responsibilities of Leads
4.1 Leads agrees to operate and maintain an electronic investigations system at its web site for
the purpose of receiving and disseminating Data from Dealers for the use of Law Enforcement
Agencies.
4.2 Leads agrees to provide system capabilities in accordance with Attachment “A” attached
to this Agreement.
4.3 Leads agrees to implement commercially reasonable efforts to perform, as well as
developments and modifications to Leads’ web site and on Leads’ infrastructure in a manner
that is not disruptive to Member.
4.4 Leads agrees to facilitate Member's access to the Data by passwords and user names
selected by Member within reasonable parameters established by Leads.
4.5 Leads agrees to provide Member with secure access to a report detailing the usage of Leads’
web site by Authorized Officials.
4.6 Leads’ client support and training is available to Member at no additional cost when
performed by telephone or email between the hours of 7:30 AM and 5:30 PM Central Time.
Member may request Leads to travel to Member’s location for specialized training and
support. Special services including after-hours support and on-site training may be provided
upon mutual agreement, and may include rates for time, materials, travel, and miscellaneous
expenses as agreed upon by the parties.
4.7 In the event of termination or expiration of this Agreement, and upon written request from a
Member, Leads shall provide Member with the actual data collected from reporting
businesses in Member’s jurisdiction that are available for export.
5. Conditions for Member's Access and Use of Leads’ Web Site
5.1 By entering into this Agreement, Member represents it is a Law Enforcement Agency as that
term is defined in Section I. Member's appointment of Leads as agent is made in order to
obtain information of a financial institution in connection with the performance of the official
duties of Member, as is contemplated by the GLBA.
5.2 Member represents it is a Member of CLEMIS and will pay the necessary fees to CLEMIS for
LeadsOnline service.
5.3 Leads may modify or upgrade any aspect(s) of Leads’ web site at any time without notice to
Member.
5.4 All Data is provided solely by Dealers using Dealers’ proprietary operational software
according to the laws and practices enforced in Dealer’s jurisdiction. Therefore, Leads

cannot and does not represent or endorse the completeness, accuracy or reliability of the
Data displayed through Leads’ web site, nor the functionality of Dealer’s operational
software. Member acknowledges that any reliance by Member or any Law Enforcement
Agency upon any Data or other information displayed or distributed through Leads’ web site
shall be at Member's sole risk.
5.5 Leads reserves the right at all times to disclose any information as necessary to satisfy any law,
regulation, or government request, or to edit, refuse to post or to remove any Data or
information, in whole or in part, that in Leads’ sole discretion is inaccurate, incomplete or is in
violation of local, state and/or federal law.
6. Term
6.1 This Agreement will become effective as of the date first set forth above and remain in effect
until its expiration or termination as described below.
6.2 Leads may immediately suspend Member’s access to its investigations system and/or
terminate this Agreement if (a) CLEMIS notifies Leads that Member is no longer a CLEMIS
member; (b) discontinues payment for Member’s access; (c) CLEMIS directs Leads to do so
for any reason.
6.3 As long as Law Enforcement Agency remains a CLEMIS Member, and Leads and CLEMIS
continue to renew the Master Agreement, this Agreement may be renewed for successive
additional one-year terms upon mutual agreement of the parties prior to the expiration of the
initial term or any renewal term thereafter. In the event of renewal, Member agrees to pay
an annual CLEMIS Member subscription fee to Oakland County for the renewal period. In the
event a Member has an existing contract with Leads prior to executing this Agreement, the
term of the initial Member’s Agency Agreement shall be extended for the number of months
remaining in the prior agreement and the Member shall not be charged again for the
additional months.
6.4 Member may immediately and without notice, terminate this Agreement, at Member's sole
option, if Leads fails to perform any material obligation required of Leads under this
Agreement; or violates any laws, rules or regulations. If termination occurs under this
paragraph, Leads shall remit to Member on a pro-rated basis that portion of the annual
subscription fee paid by Member from the date Leads commits any breach described above
until the end of the applicable service period.
6.5 Member may terminate this Agreement by providing a 60-day notice to Leads prior to the
next applicable service period if funding to make the next scheduled payment is not allotted
to the Member for this Agreement.
6.6 Leads may immediately by providing 30 days notice, terminate this Agreement for cause, at
Leads’ sole option, if Member: (a) fails to perform any material obligation required of Member
under this Agreement; (b) violates any laws, rules or regulations.
6.7 Leads may immediately and without notice terminate this agreement if in Leads’ sole
discretion, Leads determines that providing Member with access to Leads’ system creates
liability for Leads. If termination occurs under this paragraph, Leads shall remit to CLEMIS on a
pro-rated basis that portion of the annual subscription fee paid from the date of termination
until the end of the applicable service period.
7. Disclaimer of Warranties and Limitation of Liability

7.1 LEADS SPECIFICALLY DISCLAIMS ALL REPRESENTATIONS, CONDITIONS, AND WARRANTIES,
WHETHER EXPRESS OR IMPLIED, ARISING BY STATUTE, OPERATION OF LAW, USAGE OF TRADE,
COURSE OF DEALING, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO, WARRANTIES OR
CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, SATISFACTORY QUALITY, OR
FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO LEADS’ WEB SITE AND LEADS’ SERVICES
TO BE ACCESSED, USED OR DELIVERED PURSUANT TO THIS AGREEMENT. LEADS’ WEB SITE,
INCLUDING ALL DATA, CONTENT, SOFTWARE, FUNCTIONS, MATERIALS AND INFORMATION MADE
AVAILABLE ON OR ACCESSED THROUGH LEADS’ WEB SITE IS PROVIDED "AS IS" WITH ALL FAULTS
AND WITHOUT WARRANTY OF ANY KIND. LEADS DOES NOT WARRANT THAT THE FUNCTIONS
CONTAINED IN LEADS’ WEB SITE OR ANY DATA, MATERIALS OR CONTENT CONTAINED THEREIN
WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE LEADS’
WEB SITE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL
COMPONENTS. LEADS SHALL NOT BE LIABLE IN ANY MANNER OR IN ANY RESPECT FOR THE USE
OF LEADS’ WEB SITE BY MEMBER, INCLUDING, WITHOUT LIMITATION, FOR THE ABSENCE OR
PRESENCE OF DATA OR CONTENT OR ANY ERRORS CONTAINED THEREIN.
8. Indemnification
8.1 Leads shall not be liable for any claims, damages and attorney fees arising from the negligent
or illegal acts of Member's employees arising out of or related to Member's use of Leads’ web
site.
8.2 Member shall not be liable for any claims, damages and attorney fees arising from the
negligent or illegal acts of Leads’ employees arising out of or related to operation or use of
Leads’ website. If both Leads and Member are liable for any claims, damages or attorney
fees arising from the negligent or illegal acts of the employees of Leads and Member under
this Agreement, Leads and Member shall be liable for the portion of the claims, damages and
attorney fees that arise from the negligent or illegal acts of that party as determined by the
court adjudicating the matter or as agreed in any settlement. Nothing in this Agreement,
express or implied, is intended to confer upon any person, other than the parties hereto, any
benefits, rights, or remedies under or by reason of this Agreement.
8.3 Leads shall indemnify, hold harmless, protect and defend Member and its officials, officers,
employees, agents and authorized volunteers (the “Indemnified Parties”) from and against
all losses, liabilities, judgments, costs, expenses, damages (including damages to the system),
attorney’s fees, and other costs, including all costs of defense, arising from all suits of law or
actions of every nature for or on account of the infringement of any trade secrets, patents,
trademarks, copyrights or other proprietary right of any other party by reason of the use or
integration of any proprietary materials, equipment, devices or processes, originally
incorporated, or provided and used, by Leads in the performance of the services provided
under this Agreement. Notwithstanding the foregoing, if the foregoing described losses,
liabilities, judgments, costs, expenses, damages and the like arise due to the misuse of the
Data or any other breach of this Agreement by Member, Leads’ liability under this paragraph
8.1 shall be reduced proportionately by the amount of loss, liability, judgment, cost, expense,
damage and the like arising due to such misuse or breach by Member.
9. Copyright/Reverse Engineering/Records Requests
9.1 Leads’ web site is protected by copyright as a collective work and/or compilation, pursuant
to U.S. copyright laws. The contents of Leads’ web site are only for the purpose described
herein. All materials contained on Leads’ web site are protected by copyright, and are

owned or controlled by Leads or the party credited as the Leads of the content. Member will
abide by any additional copyright notices, information, or restrictions contained in any
content on Leads’ web site.
9.2 Member agrees not to decompile or otherwise copy or use the Leads’ web site for purposes
of reverse engineering or reconstruction, and will not remove, overprint or deface any notice
of copyright, trademark, logo, legend, or other notices of ownership form any materials it
obtains from Leads or Leads’ system.
9.3 Data is not considered by the parties to fall into the category of public record unless otherwise
specified by law in Member’s jurisdiction. If Leads receives a request for records from parties
other than Law Enforcement Agencies, courts, or other official sources regarding Member
personnel or Data from Member’s jurisdiction, Leads will refer the request to Member. If any
third party requests Member to provide information involving Leads’ materials or Data,
Member will make reasonable efforts to limit disclosure to that which is specifically required
by law to be disclosed. Member will obtain, to the extent possible, confidential treatment for
information by any authority requiring delivery of information.
10. Miscellaneous
10.1 Leads may assign or delegate after providing 30 days notice all or part of Leads’ rights or
duties under this Agreement. Member may not make any assignment of this Agreement
without Leads’ prior written consent, which will not be unreasonably withheld.
10.2 If any provision of this Agreement is held to be unenforceable, in whole or in part, such holding
will not affect the validity of the other provisions of this Agreement, unless Leads deems the
unenforceable provision to be essential to this Agreement, in which case Leads may
terminate this Agreement, effective immediately upon notice to Member.
10.3 Neither party will be liable for any failure or delay in performing an obligation under this
Agreement that is due to causes beyond its reasonable control, such as natural catastrophes,
governmental acts or omissions, laws or regulations, labor strikes or difficulties, transportation
stoppages or slow-downs.
10.4 This Agreement shall be governed by and construed in accordance with the laws of the State
of Michigan, without regard to conflicts of law’s provisions. Sole and exclusive jurisdiction for
any action or proceeding arising out of or related to this Agreement shall be in an appropriate
state or federal court located in the State of Michigan.
10.5 This Agreement constitutes the entire agreement between the parties, and shall supersede
all prior agreements and understandings, if any, between the parties respecting the subject
matter hereof.

CONTRACTOR INSURANCE REQUIREMENTS
During this Contract, Leads (“Contractor”) shall provide and maintain, at their own expense, all
insurance as set forth and marked below, protecting the County against any Claims, as defined in
this Contract. The insurance shall be written for not less than any minimum coverage herein
specified.
Primary Coverages
Commercial General Liability Occurrence Form including: (a) Premises and Operations; (b)
Products and Completed Operations (including On and Off Premises Coverage); (c) Personal and
Advertising Injury; (d) Broad Form Property Damage; (e) Independent Contractors; (f) Broad Form
Contractual including coverage for obligations assumed in this Contract;

occurrence. Umbrella or Excess Liability coverage shall be no less than following form of primary
coverages or broader. This Umbrella/Excess requirement may be met by increasing the primary
Commercial General Liability limits to meet the combined limit requirement.

General Insurance Conditions
The aforementioned insurance shall be endorsed, as applicable, and shall contain the following
terms, conditions, and/or endorsements. All certificates of insurance shall provide evidence of
compliance with all required terms, conditions and/or endorsements.
1. General Liability insurance shall be on a primary, non-contributory basis with any other
insurance or self-insurance carried by the County;
2. The insurance company(s) issuing the policy(s) shall have no recourse against the County for
subrogation (policy endorsed written waiver), premiums, deductibles, or assessments under any
form. All policies, except for Professional liability and Cyber liability shall be endorsed to provide
a written waiver of subrogation in favor of the County;
3. Any and all deductibles or self-insured retentions shall be assumed by and be at the sole risk of
the Contractor;
4. Contractors shall be responsible for their own property insurance for all equipment and personal
property used and/or stored on County property;
5. The Commercial General Liability and Commercial Automobile Liability policies along with any
required supplemental coverages shall be endorsed to name the County of Oakland and it
officers, directors, employees, appointees and commissioners as additional insured where
permitted by law and policy form;
6. The Contractor shall require its contractors or sub-contractors, not protected under the
Contractor’s insurance policies, to procure and maintain insurance with coverages, limits,
provisions, and/or clauses equal to those required in this Contract;
7. Certificates of insurance must be provided no less than ten (10) Business Days prior to the
County’s execution of the Contract and must bear evidence of all required terms, conditions
and endorsements; and
8. All insurance carriers must be licensed and approved to do business in the State of Michigan
and shall have and maintain a minimum A.M. Best’s rating of A- unless otherwise approved by
the County Risk Management Department.

LeadsOnline Real Time Crime System
LeadsOnline LLC (“Leads”) and Oakland County, Michigan, through its Courts and Law
Enforcement Management Information System (“CLEMIS”), enter into this Amendment
(“Amendment”) to modify as provided herein and otherwise continue the “MASTER AGREEMENT
BETWEEN OAKLAND COUNTY THROUGH ITS CLEMIS DIVISION AND LEADSONLINE FOR CLEMIS
MEMBER BENEFIT PROGRAM” (County Contract no. 005416, herein referred to as the “Contract”).
Leads and CLEMIS may be referred to collectively as the “Parties” or individually as a “Party.” The
purpose of this Amendment is for Leads to provide use of and access to its Real Time Crime System
application (“RTC”) to CLEMIS and CLEMIS Member Agencies (“Member(s)”) in accordance with
the terms in this Amendment and the Contract.
The Parties agree that any and all defined words or phrases in the current Contract between the
parties will apply equally to and throughout the amendment. The Parties agree that any and all
other terms and conditions set forth in the current Contract between the Parties shall remain in full
force and effect and shall not be modified, excepted, diminished, or otherwise changed or
altered by this Amendment except as otherwise expressly provided for in this Amendment.
In consideration of the extension of the mutual promises, representations, assurances,
agreements, and provisions in the Contract and this Amendment, the adequacy of which is
hereby acknowledged by the Parties, the CLEMIS and Leads hereby agree to amend the current
Contract as follows:
1. Responsibilities of CLEMIS. CLEMIS will perform the following:
1.1. CLEMIS will develop automated daily reports (case offenses, case persons, case property,
case narrative, case vehicle, and case management report), which any participating
CLEMIS Member may use to submit case information electronically to run/search in RTC.
CLEMIS will automate sending these reports daily via Windows Task Scheduler or similar
application. CLEMIS will use reasonable efforts to send the report files to Leads on each
business day of the week. For the purposes of this Amendment, “participating CLEMIS
Member” means any CLEMIS Member that agrees to the RTC Amendment and is current
on paying the RTC fees.
1.2. CLEMIS will provide all participating CLEMIS Members with a link to access the report and
instructions for automating the report on the CLEMIS Portal.
1.3. Leads will respond to phone calls and e-mails concerning interruptions and errors from
CLEMIS Members regarding the extracted files within 4 hours on business days only. Leads
may contact CLEMIS if there is a problem with the daily transmitted data file and CLEMIS
will respond to Leads within 4 hours on business days during normal work hours.
1.4. If, following acceptance of the automated files, Leads or CLEMIS Members request
changes to the files, CLEMIS will provide reasonable assistance to Leads and/or the
CLEMIS Members. Leads shall not make any changes to the file’s schema or specifications
without first notifying CLEMIS and getting CLEMIS’s approval.
1.5. If CLEMIS incurs a cost to assist Leads, CLEMIS may invoice Leads for the costs incurred by
CLEMIS on a time and materials basis as agreed between CLEMIS and Leads prior to such
assistance. Leads shall provide CLEMIS with a refund or credit for the amount of the
invoice.
1.6. Each CLEMIS Member participating in the RTC System is required to execute a
LeadsOnline RTC Amendment, which is attached as Appendix I and incorporated in this
this Amendment, to their LeadsOnline Agency Agreement for Members.
1.7. Leads will charge each participating CLEMIS Member an additional fee for access to and
use of RTC (“RTC fee”) as shown in Appendix II - RTC Scope of Services, which is attached
and incorporated into this Amendment. CLEMIS will pay Leads the amount shown in
Appendix II - RTC Scope of Services with RTC for each participating CLEMIS Member.
2. Responsibilities of Leads. Leads will perform all of the following:
2.1. Leads will provide CLEMIS and participating CLEMIS Members with access to and use of
the RTC for the purpose of enabling CLEMIS and CLEMIS Members to transmit case records
directly into the LeadsOnline electronic investigations system where the case records will
run/search in RTC automatically each day. RTC will find relevant data and information in
persons or property crimes. Leads, through RTC, will send notifications to the appropriate
Member’s investigator, unit, and/or patrol officers.
2.2. Leads will provide the RTC for CLEMIS and participating CLEMIS Members with the
capabilities and features provided in Appendix II - RTC Scope of Services.
2.3. Leads will provide training and guidance to CLEMIS and CLEMIS Members’ personnel
regarding the necessary data and the processes for uploading and monitoring the status
of the report files.
2.4. Leads will provide CLEMIS and participating CLEMIS Members with access to its RTC Admin
Portal for uploading and monitoring the status of the files.
2.5. Leads shall provide CLEMIS with a credit or refund in the amount of $2,640.00 for CLEMIS
developing and compiling the automated daily reports. Leads shall provide the refund or
credit to CLEMIS when the first CLEMIS Member agency begins using RTC. There are no
costs to Leads or to CLEMIS Members for using the automated daily reports.
2.6. Leads shall not share or provide the daily reports to any person or entity that is not CLEMIS
or a participating CLEMIS Member.
The undersigned hereby execute this Amendment on behalf of the County and Leads and by
doing so legally obligate and bind the County and Leads to the terms and conditions of the
Contract and this Amendment.

Member agrees to and shall pay to CLEMIS the RTC fee as shown in the invoice that CLEMIS
provides to Member.
2.2. Member agrees that Member’s Data (excluding report narratives, which are discussed
below) that is provided to CLEMIS or Leads for any of Leads’ services/products may be shared
with and accessed by any Leads customer and/or other entity that has access to or participates
in Leads RTC.
2.3. Members participating in RTC will have the option to send case report narratives and data
to Leads RTC. If Member chooses to send case report narratives and data to RTC, Member agrees
that information about the case reports, including the case type, names of persons of interests,
and Member contact information may be shared with and accessed by any Leads customer
and/or other entity that has access to or participates in Leads RTC. Leads will not share the case
report narratives with any third party without the permission of Member.
The undersigned hereby execute this Amendment on behalf of the Member and Leads and by
doing so legally obligate and bind the Member and Leads to the terms and conditions of the
Contract and this Amendment.

APPENDIX II
REAL TIME CRIME SYSTEM (RTC) SCOPE OF SERVICES
In accordance with the above Amendment, Leads will provide CLEMIS and participating
CLEMIS Members with access to and use of the LeadsOnline Real Time Crime System (“RTC”).
RTC will enable participating CLEMIS Members to transmit case records into Leads’ System and
to receive matches as relevant Data is found. This Appendix – Real Time Crime System Scope of
Services (the “Scope”) describes the RTC and services that Leads will provide to CLEMIS and
participating CLEMIS Members. Leads shall provide the RTC and services described in this
Appendix to CLEMIS and CLEMIS Members.
1. DESCRIPTION OF RTC FUNCTIONALITY
i. The LeadsOnline “Real Time Crime” System (RTC) enables law enforcement agencies to
transmit case records directly into LeadsOnline where they will run automatically each
day.
ii. RTC finds relevant information in persons and property crimes, even before an investigator
is assigned to the case. RTC will continue running the case long after the file is put away.
iii. Notifications are routed to the appropriate investigator and/or unit. Patrol officers following
up on reports may also be notified as relevant information is brought to light.
iv. LeadsOnline operates according to the CJIS Security Policy and our policies have been
reviewed by a reputable CJIS auditing firm. All LeadsOnline personnel have passed the
CJIS Level 4 Security Test and have submitted to fingerprint background checks. Data is
encrypted in transit and at rest. Cases marked as confidential, secured, sealed, locked,
etc. are purged according to CJIS standards. All case information will be purged at any
time upon CLEMIS’s request. Leads shall also comply with the current version of all
applicable State of Michigan CJIS Security Policy(ies).
2. PROCEDURE for FILE CREATION and TRANSFER
i. CLEMIS will use reasonable efforts to send an automatically transmitted data file to Leads
on each business day of the week for each Real Time Crime participating Agency.
ii. The transmission data file will consist of five mandatory files and one optional file er agency
representing the file types:

participation, or inclusion/exclusion of Case Narratives, CLEMIS will provide Leads with a
request form that instructs Leads to make the change.
iv. LeadsOnline will create a secure folder to receive case files daily (Secure FTP).
v. Member data will be included only for Members that have signed the Member RTC
Amendment with Leads for Real Time Crime. Leads will inform CLEMIS of any new Member
agency and forward the signed the Member RTC Amendment to CLEMIS to add to the
transmitted data file. New Member agency workflow will be developed using an Oakland
County Service Desk Change Order.
vi. The below tables in section 3 (File Contents) contain descriptions of the data that may be
transmitted by CLEMIS to Leads. CLEMIS, in its sole discretion, will decide what
CLEMIS/Member data will be sent to Leads. CLEMIS and Leads may mutually agree in
writing (including, but not limited to, by e-mail communication) to add case elements to
these files to further assist Members in linking cases, generating leads and creating reports
and notifications for Member personnel.

AMENDMENT DATE: February 15, 2023
This AMENDMENT OF CONTRACT (hereafter this "Amendment") is made and entered into by and between the
Contractor named and identified below, (hereafter “Contractor”) and the COUNTY OF OAKLAND (hereafter
“County”) whose address is 2100 Pontiac Lake Rd, Waterford, MI 48328.

The County and Contractor agree and acknowledge that the purpose of this Amendment is to modify as
provided herein and otherwise continue the present contractual relationship between the Parties as described
in their current contract with the same contract number as above.
In consideration of the extension of the mutual promises, representations, assurances, agreements, and
provisions in the Contract and this Amendment, the adequacy of which is hereby acknowledged by the Parties,
the County and Contractor hereby agrees to amend the current Contract as follows:
1.0 The County and Contractor agree that any and all defined words or phrases in the current Contract
between the parties will apply equally to and throughout the amendment.
2.0 The Parties agree that any and all other terms and conditions set forth in the current Contract
between the Parties shall remain in full force and effect and shall not be modified, excepted,
diminished, or otherwise changed or altered by this Amendment except as otherwise expressly
provided for in this Amendment.
3.0 Description of Change:
3.1 The Contract Expiration Date is changed from 05/31/2023 to 09/30/2023.
3.2 The Not to Exceed (NTE) amount is increased by $60,000.
3.3 In addition to and without limiting any of Contractor’s obligations or duties under the
Contract, Contractor shall provide County with the Deliverables (goods and/or services)
provided in the attached Exhibit A (Scope of Deliverables) for the prices provided therein,
which is included and incorporated into this Amendment. The Parties shall comply with the
terms in the Exhibit A (Scope of Deliverables).

3.4 Due to conversion to Workday financial system, Oakland County is assigning a new contract
number. The old contract number 005416 will be replaced by 008387.
For and in consideration of the mutual assurances, promises, acknowledgments, warrants, representations,
and agreements set forth in the Contract and this Amendment, and for other good and valuable consideration,
the receipt and adequacy of which is hereby acknowledged, the undersigned hereby execute this Amendment
on behalf of the County, and Contractor and by doing so legally obligate and bind the County and Contractor to
the terms and conditions of the Contract and this Amendment.

1. INTRODUCTION
1.1 Contractor will provide the County with a Confidential Investigations System services, for the CLEMIS Agencies
indicated within the pricing charts below, up to and including the end service date of 09/30/23.
1.2 Contractor shall maintain the current implementation of the System.
