Economic Development - Amendment of Oakland County Economic Development and Growth
Alliance (Oakland Thrive) Agreement
Chair and Members of the Board:
WHEREAS the Board of Commissioners approved appropriations of $2,500,000 for the Oakland
Together Small Business Recovery and Resilience Business Professional Services Assistance Grant
Program (#21284), $500,000 to obtain the services of business community navigators (#21284) to
provide counseling and technical assistance to Oakland County businesses and organizations in
underserved communities, and $15,000,000 to expand small business support (#22312) to over
25,000 new, emerging and established entrepreneurs county-wide through calendar year 2026; and
WHEREAS these three actions resulted in the execution of the Economic Development Support and
ARPA Program Management contract (#010073); and
WHEREAS the Michigan Veterans Affairs Agency (MVAA) has granted Oakland County’s Veterans’
Services division a grant totaling $159,019 for marketing and outreach activity with a goal of
connecting veterans in the county to their benefits; and
WHEREAS the county seeks to add support for the execution of this grant under the existing
Economic Development Support and ARPA Program Management contract (#010073) through an
amendment (#010073-05); and
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners hereby
authorizes the execution of the Economic Development Support and ARPA Program Management contract
(#010073) amendment, for the purposes of providing additional marketing and outreach support to the
county’s Veterans’ Services division.
BE IT FURTHER RESOLVED that the program shall be administered in conformance with federal,
state, and local legal requirements, Oakland County policies and procedures, and Michigan Veterans
Affairs Agency (MVAA) guidelines for the eligible expenditure of these funds.
BE IT FURTHER RESOLVED that approval of this amendment and subsequent use of the $159,019
provided by the Michigan Veterans Affairs Agency (MVAA) for eligible activities under this grant by
Oakland County shall not obligate a commitment of the General Fund unless authorized by action of
the Board of Commissioners.
BE IT FURTHER RESOLVED that all MVAA funding in support of advancing the goals of this grant
will need to be obligated no later than September 30, 2024.

AMENDMENT DATE: November 16, 2023
This AMENDMENT OF CONTRACT (hereafter this "Amendment") is made and entered into by and between the
Contractor named and identified below, (hereafter “Contractor”) and the COUNTY OF OAKLAND (hereafter
“County”) whose address is 2100 Pontiac Lake Rd, Waterford, MI 48328.

The County and Contractor agree and acknowledge that the purpose of this Amendment is to modify as
provided herein and otherwise continue the present contractual relationship between the Parties as described
in their current contract with the same contract number as above.
In consideration of the extension of the mutual promises, representations, assurances, agreements, and
provisions in the Contract and this Amendment, the adequacy of which is hereby acknowledged by the Parties,
the County and Contractor hereby agrees to amend the current Contract as follows:
1.0 The County and Contractor agree that any and all defined words or phrases in the current Contract
between the parties will apply equally to and throughout the amendment.
2.0 The Parties agree that any and all other terms and conditions set forth in the current Contract
between the Parties shall remain in full force and effect and shall not be modified, excepted,
diminished, or otherwise changed or altered by this Amendment except as otherwise expressly
provided for in this Amendment.
3.0 Description of Change: Addition of marketing and outreach support for Veterans’ Services
3.1 The Contract Expiration Date is changed from N/A to N/A.
3.2 The Not to Exceed (NTE) amount is increased by $159,019.
3.3 In addition to and without limiting any of Contractor’s obligations or duties under the
Contract, Contractor shall provide County with the Deliverables (goods and/or services)
provided in the attached Exhibit A for the prices provided therein, which is included and

incorporated into this Amendment. The Parties shall comply with the terms in Exhibit IX
(Scope of Deliverables) as amended.
For and in consideration of the mutual assurances, promises, acknowledgments, warrants, representations,
and agreements set forth in the Contract and this Amendment, and for other good and valuable consideration,
the receipt and adequacy of which is hereby acknowledged, the undersigned hereby execute this Amendment
on behalf of the County, and Contractor and by doing so legally obligate and bind the County and Contractor to
the terms and conditions of the Contract and this Amendment.

EXHIBIT A
CONTRACT EXHIBIT IX “SCOPE OF CONTRACTOR DELIVERABLES/FINANCIAL OBLIGATIONS” IS HEREBY
AMENDED BY THE ADDITION OF SUBSECTION VI “MARKETING AND OUTREACH SUPPORT” AS
FOLLOWS:
VI. Marketing and Outreach Support for the Veterans’ Services Division of Oakland County Economic
Development:
1. Conduct Needs Assessment: OCEDGA will collaborate with the Veterans Services division to assess their
outreach requirements and develop a comprehensive marketing plan tailored to meet the objectives of
connecting with more veterans in Oakland County.
2. Marketing Strategy Development: OCEDGA will design and execute a comprehensive marketing campaign
utilizing various channels to effectively promote and enhance the visibility of the Veterans Services division
among veterans in the county, including but not limited to:
• Radio advertisements
• Digital media (e.g., online banners, social media advertising)
• Billboard advertising
• Direct mailing
• Social media management and engagement
• Print media (e.g., brochures, posters)
• Promotional items (e.g., branded merchandise)
Per an agreement between Oakland County and the Michigan Veterans Affairs Agency (“MVAA"),
Marketing/advertising products shall acknowledge “paid for in part or in whole by the Michigan Veterans
Affairs Agency” if space allows. Consult Oakland County Economic Development Team for discussion and
approval.
3. Comprehensive Reporting: Prepare an itemized budget for the marketing campaign and present it to the
Oakland County Economic Development Team for discussion and approval. OCEDGA will manage expenditures
related to the marketing efforts and provide itemized invoices quarterly for transparent financial reporting in
accordance with the schedule below. Additionally, include any available information at the time of the report
detailing the effectiveness of the campaign. Reports shall include expenses related to advertising, printing,
promotional items, and any other campaign-related costs.

4. Event Coordination and Execution: Coordinate any promotional events or outreach activities aimed at
connecting with veterans as requested by Oakland County, including managing event coordinators, identifying
potential sponsorships and partnerships, overseeing event logistics, such as speakers, venues, and attendee
registrations. These events will serve as opportunities for veterans to learn about available benefits and
connect with Veterans Services.
5. Marketing Outreach and Sponsorship: OCEDGA will manage aspects of the marketing outreach as requested
by Oakland County.
Revised disbursement schedule
This work is made possible by a reimbursable grant provided to Veterans’ Services by the Michigan Veterans
Affairs Agency (MVAA). MVAA provides reimbursement quarterly based on activity. Reimbursement will occur
in quarterly installments based upon verified invoices beginning October 1, 2023 and ending September 30,
2024 in an amount not to exceed $159,019. The disbursement schedule in Exhibit IX is hereby revised to reflect
the above grant disbursement.
