Motion to approve the County Center Drive East Paving Project (PRJ-17592) in the amount of
$2,548,665, and authorizes the Chair of the Board of Commissioners to execute the attached
Agreement with the Road Commission for Oakland County; further, the FY2024 budget is amended
as detailed in Schedule A.

INTRODUCTION AND BACKGROUND
In accordance with Purchasing Division policies and procedures, Facilities Planning and
Engineering (FP&E) and the Road Commission for Oakland County (RCOC) solicited a proposal for
asphalt paving, concrete and associated utility work at County Center Drive East from annual
competitively bid and selected contractors. The RCOC provided the best value bid.
The total project cost is $2,548,665, including $1,920,013 for asphalt paving, concrete, and
infrastructure, $50,000 for FM&O Landscape Services, $61,560 for electrical work, $7,359 for
signage, as well as $509,733 for contingencies. Funding in the amount of $2,548,665 is available for
transfer from the FY2024 Capital Improvement Program/Building Improvement Fund (#40100) to the
Project Work Order Fund (#40400) for the County Center Drive East Paving Project.
The project includes asphalt paving, concrete and associated utility work.
POLICY ANALYSIS
The RCOC shall undertake and complete the reconstruction of County Center Drive, between
Telegraph Road to East of Hospital Drive. The reconstruction shall consist of 0.47 miles of full depth
roadway reconstruction, including storm sewer reconstruction, curb and gutter installation,
aggregate base, HMA paving, detention basin, permanent signing, and pavement marking.
Affected County offices include the Medical Examiner’s Office, Sheriff’s Office Administration, and
the Animal Shelter and Pet Adoption Center. Detour signs will be posted and access will be
maintained to the facilities on the north side of the road. The project should take 70 calendar days
and be completed no later than September 20, 2024.

PROJECT NO. 55541
THIS AGREEMENT (“Agreement’), made and entered into this day of
2024, us made between the Road Commission for Oakland County, a Michigan statutory public
body corporate, with administrative offices at 31001 Lahser Road, Beverly Hills, MI 48025,
(hereinafter “RCOC”) and the County of Oakland, with offices at 1200 N. Telegraph Road,
Pontiac, MI 48341 (hereinafter “County”) (collectively referred to as ‘the Parties’), provides as
follows:
WHEREAS, the road referred to as County Center Drive located in the Oakland County
Service Center in Pontiac, Michigan is in poor condition and in need of repair, and
WHEREAS, certain roads in the Oakland County Service Center are dedicated roadways
and physically maintained by RCOC, and
WHEREAS, the County Department of Facilities Management/Facilities Planning &
Engineering is satisfied that this Agreement with RCOC is the most cost-effective means of
completing the necessary repairs to County Center Drive,
NOW, THEREFORE, in consideration of the mutual benefits set forth herein, it is agreed
between the Parties:
1. RCOC RESPONSIBILTIES
a. The RCOC shall undertake and complete the reconstruction of County Center Drive,
between Telegraph Road to East of Hospital Drive. Said reconstruction shall consist of
0.47 miles of full depth roadway reconstruction, including storm sewer reconstruction,
curb and gutter installation, aggregate base, HMA paving, detention basin, permanent
signing, and pavement marking (“Project”).
b. Except for the County’s payment obligation described herein, RCOC shall be solely
responsible for providing any materials, equipment, and labor necessary to complete the
Project and shall be solely responsible for engaging, overseeing, and reimbursing any
person(s) providing any material or labor to or in connection with the Project.
c. In connection with the Project, RCOC shall comply with all applicable laws, regulations
code and ordinances, and secure any necessary permits or licenses.

2. COUNTY RESPONSIBILITIES
Upon execution of this Agreement, the RCOC shall invoice the County
$___________________ for the Project (“Invoice”). This amount is for 100% of the
accepted low bid for the Project. The full amount of Invoice shall be paid by the County to
RCOC in available United States Funds within thirty (30) days of the date of the Invoice.
Upon completion of the Project, RCOC shall refund the County for any construction costs
under the amount of the Invoice, based on the final construction cost, as determined by
RCOC. Any final construction costs in excess of the Invoice shall be funded by RCOC.
3. GENERAL TERMS
a. This agreement, and/or any subsequent amendments thereto, shall not become effective
prior to approving resolutions issued by respective governing Boards of both Parties and
as reflected and entered in each Board’s official minutes and filed with the Michigan
Secretary of State as required by MCL §124.510.
b. Any amendment or changes to this Agreement shall be in writing and approved by the
respective governing Board of each Party.
c. Each Party shall be responsible for any claims, damages, losses, or liabilities made
against that Party by any third party or person. In this regard, if necessary, each Party
shall seek its own legal representation and bear the costs associated with such
representation, including attorney fees. Neither Party shall have any right under legal
principle to be indemnified by the other Party or by any of its employees or agents in
connection with any such claims, damages, losses, or liabilities.
d. This Agreement does not, and is not intended to, impair, divest, delegate, or contravene
any constitutional, statutory, and/or legal right, privilege, power, obligation, duty, or
immunity of the Parties.
e. The Parties intend and agree that for all purposes under this Agreement, RCOC’s legal
status and relationship to the County shall be that of an independent contractor.
f. It is the intention of the Parties that this Agreement is not made for the benefit of any
third party or person.
g. This Agreement shall be construed, interpreted, and governed in accordance with the laws
of the State of Michigan.
h. This Agreement includes three (3) pages. Except as otherwise expressly stated herein, this
Agreement represents the entire agreement and understanding between the Parties. This

Agreement supersedes all other oral or written understandings between the Parties in any
way related to the Project.
IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be signed by
their duly authorized representatives as of the date above.
The signatures warrant that they are authorized to execute this Agreement on behalf of
their respective organizations.
