ITEM CATEGORY SPONSORED BY Grant Penny Luebs INTRODUCTION AND BACKGROUND The Oakland County Health Division was awarded funding through the Penske Foundation Mental Health Crisis Prevention Program in the amount of $3,000,000 for the period November 1, 2024 through October 31, 2027. The grant funds will be used to provide increased accessibility to mental health services and programs for residents and first responders and their families, regardless of their ability to pay. The Oakland County Health Division will partner with organizations to provide mental health resources and wrap-award services at the Integrated Care Center in Pontiac. POLICY ANALYSIS Project funds will be used to support the Integrated Care Center in Pontiac (the Oakland County Mental Health Crisis Prevention Program) over the next three years. Acceptance of this grant does not obligate the County to any future commitment and continuation of this program is contingent upon continued future levels of grant funding. These documents describe the Grantee’s proposed budget, and the project the Grantee desires to implement. The Foundation has relied on the representations in these documents. • Project Overview • OCHDCPP 2024/25 Program Budget 2. The Grantee agrees to expend the entire Grant Agreement solely for the purposes, and in all material respects according to the budget, specified in the documents listed in Paragraph 1. The Grantee will treat the Grant Agreement as a restricted asset and will keep adequate records to document the expenditure of funds and the activities supported by the grant. The Grantee agrees to return to the Penske Foundation any part of the unexpended Grant Agreement Funds paid by Penske Foundation unencumbered within 20 business days of the end of the Grant Period. The Grantee agrees to make available to the Penske Foundation the financial and other records related to the activities supported by the grant within 15 business days of request. 3. The Grantee warrants that: (A) it is currently exempt from federal income tax pursuant to Internal Revenue Code (the “Code”) Section 115 and is not a private foundation, and that it has received no notice or information that the IRS determination letter it may have provided the Foundation has been revoked, modified, suspended or superseded by IRS action or otherwise or that it cannot receive this grant from the Penske Foundation under the Code; and (B) its receipt and use of the Grant Funds is in, and will continue to be in compliance with all applicable laws, regulations and rules (“Laws”) and (C) it will not offer or provide money, gifts, or other things of value directly or indirectly in violation of Laws or in order to improperly influence any acts or decisions relating to the Penske Foundation or the project, including by assisting any person or party to secure improper advantage, and (D) the person executing the agreement on its behalf has the power and authority to execute this agreement. The Penske Foundation and the Grantee may agree in writing to modify the objectives, methods or timeline of the project for which Grant Funds have been awarded. 5. The Grantee agrees to the following: • The Penske Foundation and Grantee are independent contractors under this agreement. • No partnership or joint venture is created hereby this Agreement. No third party is entitled to rely on the provisions of this Agreement. Only the Penske Foundation and the Grantee may rely on the promises, covenants, terms and conditions contained in this Agreement. • Grantee may not assign, or otherwise transfer, its rights or delegate its obligations under this Agreement without prior written consent of the Penske Foundation. • This Agreement may be amended only upon written approval of both Parties. • This Agreement contains all the terms and conditions agreed upon by both Parties. No other understanding, oral or otherwise, regarding the subject matter of this Agreement shall be deemed or exist to bind any of the Parties. • The Parties agree that pdf or electronic signatures of the Parties shall be binding and enforceable, and that this Agreement may be signed in one or more counterparts. This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan. 6. The Grantee agrees to notify the Penske Foundation in writing about: • Any change in key personnel of the project or organization; • Any change in address or phone number; • Any change in tax-exempt classification under Section 115 of the Internal Revenue Code or if the grant fails to constitute as a charitable donation under applicable Laws • Any development that significantly affects the operation of the project or the organization. • The Grantee or other Oakland County staff becoming aware of the distribution or potential public distribution by the Grantee or any of its project contractors or their former or current employees or contractors of any reports, findings or other materials directly or indirectly involving the project; and • Any findings that could reflect negatively on the Penske Foundation, or the Roger S. Penske family or any of their affiliates prior to publication. The Penske Foundation shall have fifteen (15) business days to respond to any such negative findings prior to publication. 7. This agreement shall be effective until October 31, 2027. Grantee: Oakland County Public Health Date: 10/17/2024 8. The Grantee shall be in default under this Agreement if: (1) it fails to fulfill the obligations provided in the documents set forth in paragraph 1, or, (2) it fails to abide by the terms of this agreement, or (3) it fails to comply with applicable laws, (4) or it voluntarily commences or involuntarily becomes the subject of any petition under any bankruptcy, insolvency or similar law or (5) it ceases to qualify as a permissible grantee from the Penske Foundation under the Code. If at any time the Grantee is in default under this paragraph, the Penske Foundation shall have the right to terminate this agreement and require that the grant (in whole or in part) be returned to the Penske Foundation within five (5) business days. 9. The Penske Foundation, or any of its affiliates or officers or employees or directors shall have no liability for (and Grantee hereby waives all damages, costs, expenses, claims, causes of action or other legal or equitable redress with respect to) claims arising out of the Penske Foundation’s rightful request for return of Grant Funds. 10. To the maximum extent permitted by law, the Grantee hereby indemnifies Penske Foundation and any of its affiliates or officers or employees or directors for all claims, causes of action, rights, liabilities or damages whatsoever, including reasonable attorney’s fees, arising out of use of the Grant Funds and the project, including but not limited to, claims for bodily injury or death and property damage. 11. No party shall be liable to the others under this agreement for any special, incidental or consequential damages. 12. The Penske Foundation may, after notice to the Grantee of its intent to do so, cancel its participation in the project for which funds have been or may be granted, in the event the Penske Foundation, in its sole judgment, finds that: • The Grantee has failed to make substantial progress in the completion of the project; • The Grantee has failed to comply with the terms of this Agreement; or • Such cancellation is necessary to comply with the requirements of law; or • The grant no longer qualifies as permissible under the Code for Penske Foundation to continue to make. In the event of cancellation under this Paragraph, the Penske Foundation shall have no further obligation to make any payments remaining towards the Grant Amount. The Grantee will return any unspent Grant Funds to the Penske Foundation within 15 business days. Grantee: Oakland County Public Health Date: 10/17/2024 13. The Grantee agrees not to expend any Grant Funds in such a way as to constitute a taxable expenditure described in Section 4945 of the Internal Revenue Code, that is: • To carry on propaganda or otherwise attempt to influence legislation; • To influence the outcome of any specific public election or to carry on, directly or indirectly, and voter registration drive • For any grant to an individual which does not comply with the requirements of Section 4945 (d)(3) or (4); or • For any purpose other than one specified in Section 170(c)(2)(B) of the Code, i.e., a religious, charitable, scientific, literary or educational purpose. 14. To the extent permitted by law the Grantee agrees to defend and hold harmless the Penske Foundation, or any of its affiliates and its officers, directors, and employees from and against any claim, including the expenses of investigation and defense of such claim, arising out of or in any way connected with this grant or the expenditure of Grant Funds. 15. The Grantee agrees to comply with Executive Order 13224 of September 23, 2001 Blocking Property and Prohibiting Transactions with Persons Who Commit, Threaten to Commit, or Support Terrorism; and with Federal law, embargoes and trade sanctions regulating international transactions, unless a court of competent jurisdiction has adjudged such prohibitions invalid. 16. The following reports are required to comply with this Agreement: √ If this item is checked, the Grantee agrees to submit an Interim Report on the 6- month, 12-month and 24-month anniversary of this grant. This report will include: • A description of program activities that have taken place to date; • A description of events that have had a significant effect on the project; and • An evaluation of the project to date. • A current financial accounting of the expenditure of the grant (including documentation). Regardless of the submission of an Interim Report(s), the Grantee agrees to submit a Final Report no later than 30 days after the end of the Grant Period. This report will include each topic listed for Interim Reports plus: • A discussion of the degree to which project objectives were achieved; • A description of any unanticipated effects of the project; • A full financial accounting of the expenditure of the grant (including documentation); • And a full description of recognition provided. 17. The Grantee will obtain pre-approval from the Penske Foundation for all uses or mentions of the Penske Foundation name or logo or its affiliates, officers, and employees in any advertisement, publicity, public comment or any such materials or communications. Grantee: Oakland County Public Health Date: 10/17/2024 18. The Grant Funds will be invoiced and funded at times agreed to by Penske Foundation. 19. The Penske Foundation and the Grantee agree the obligations set forth in this agreement shall survive the termination of this agreement. 20. The Grantee will maintain complete and accurate accounting records and copies of any reports submitted to the Foundation relating to the Project. The Grantee will retain such records and reports for 4 years after Grant Funds have been fully spent. At the request of Penske Foundation, the Grantee will make such records and reports available to the Penske Foundation to monitor and evaluate how Grant Funds have been used or committed.
