ITEM CATEGORY SPONSORED BY Contract Penny Luebs INTRODUCTION AND BACKGROUND Oakland County Health Division (OCHD) – Southfield location and Oakland Community Health Network (OCHN) will partner to offer support to the community by providing resources and referrals to individuals seeking non-emergent services for mental health, substance use disorders, and/or intellectual developmental disabilities at 27725 Greenfield Rd Southfield, MI 48076 (“Site”). This Site will aim to provide support to residents of Oakland County, regardless of insurance coverage, who are affected by behavioral health and substance use concerns. OCHN will provide this Site with an Access Information and Referral Specialist/ Screener (“RSS”) OCHN staff person who will assist individuals with accessing non-emergent behavioral health services. Individuals may be referred to higher levels of care (emergent services) as necessary. POLICY ANALYSIS Per the attached MOU, each Party will be responsible for its own costs and expenses incurred in connection with this MOU and the activities contemplated herein. OCHN will staff the OCHD – Southfield location with a person holding a preferred master’s degree with knowledge and understanding of behavioral health and OCHN network. This staff will connect individuals to services, provide on-site referrals and provide eligibility screening. Additionally, a supervisor will be available to provide guidance, coaching, and support to these staff members, adhering to the clinical guidelines and Medicaid requirements. OCHN RS/Screening staff will operate exclusively within agreed-upon hours of operation at the Site. OCHN and OCHD may be referred to individually as a "Party" and collectively as the "Parties." 1. Purpose: The purpose of this MOU is to outline the intentions and responsibilities of the Parties regarding the provision of Access services to be provided on site by OCHN for no fee. 2. Scope of Services: The specific details and scope of the Access services to be provided by OCHN will be outlined in a separate attachment to this MOU (Attachment A). 3. Term: This MOU shall commence on the date first written above and shall continue until September 30, 2025, unless terminated earlier by either Party as provided herein. 4.Responsibilities: •OCHD will provide the necessary facilities and support to enable OCHN to perform the Access services as detailed in Attachment A. •OCHN will provide the Access services as detailed in Attachment A. •OCHN will obtain the necessary insurance as detailed in Attachment B. 5. Confidentiality: 5.1 Definition of Confidential Information: For purposes of this MOU, "Confidential Information" means any information or material that is proprietary to either Party, whether or not owned or developed by that Party, which is not generally known other than by the Party, and which the Party may obtain through any direct or indirect contact with the other Party. 5.2 Obligations of Confidentiality: Each Party agrees to keep the Confidential Information of the other Party confidential and not to disclose it to any third party without the prior written consent of the disclosing Party. The receiving Party agrees to take all reasonable steps to protect the confidentiality of the Confidential Information and to prevent any unauthorized use or disclosure. 5.3 Exclusions: Confidential Information does not include information that (a) is or becomes publicly known through no breach of this MOU; (b) is received from a third party without breach of any obligation of confidentiality; (c) is independently developed by the receiving Party without use or access to the disclosing Party's Confidential Information; or (d) is required to be disclosed by law or regulation. 6. Costs: Each Party will be responsible for its own costs and expenses incurred in connection with this MOU and the activities contemplated herein. 7. Termination: Either Party may terminate this MOU upon sixty (60) days' written notice to the other Party. In the event of termination, each Party shall be responsible for its own costs incurred up to the date of termination. 8. Non-Binding Nature: Except for its confidentiality obligations this MOU is non-binding and does not create any legal obligations or enforceable rights between the Parties. The Parties acknowledge that any binding agreement will be subject to the negotiation and execution of a definitive agreement. 9. Governing Law: This MOU shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflicts of law principles. IN WITNESS WHEREOF, the Parties hereto have executed this Memorandum of Understanding as of the date first written above. ATTACHMENT A Scope of Work: Oakland County Health Division - Southfield Partnership Overview Oakland County Health Division (OCHD) – Southfield location and Oakland Community Health Network (OCHN) will partner to offer support to the community by providing resources and referrals to individuals seeking non-emergent services for mental health, substance use disorders, and/or intellectual developmental disabilities at 27725 Greenfield Rd Southfield, MI 48076 (“Site”). This Site will aim to provide support to residents of Oakland County, regardless of insurance coverage, who are affected by behavioral health and substance use concerns. OCHN will provide this Site with an Access Information and Referral Specialist/ Screener (“RSS”) OCHN staff person who will assist individuals with accessing non-emergent behavioral health services. Individuals may be referred to higher levels of care (emergent services) as necessary. Program Parameters Resources and referrals will be provided by an OCHN RSS staff member who holds a master's degree and possesses knowledge and understanding of behavioral health within the OCHN network. The OCHN RSS will provide non-emergent resources, referrals and screenings on a walk-in basis at the Site. Individuals will receive the following: •Greeting by a warm and welcoming staff who is a subject matter expert in Oakland County’s behavioral health resources •Access to a person who can provide education and referrals as appropriate •Access screening to determine eligibility for OCHN Specialty Behavioral Health Services •Information and advocacy to individuals regarding the Access department and accessing services in Oakland County •Integrated physical and mental health care coordination •Resources and referrals to support the social determinants of health Target Population Services at the OCHD - Southfield, provided by OCHN are designed to serve the following target populations: •Residents of Oakland County, with or without insurance •Adults aged 18 and over •Children and youth 17 and under •Individuals with behavioral health treatment needs •Individuals with co-occurring or primary substance use disorders (SUD) •Individuals with co-occurring or primary Intellectual Developmental disorder The team will assess opportunities for improving or expanding service options for the target population and to meet the community demand. Staffing Plan OCHN will staff the OCHD – Southfield location with a person holding a preferred master’s degree with knowledge and understanding of behavioral health and OCHN network. This staff will connect individuals to services, provide on-site referrals and provide eligibility screening. Additionally, a supervisor will be available to provide guidance, coaching, and support to these staff members, adhering to the clinical guidelines and Medicaid requirements. OCHN RS/Screening staff will operate exclusively within agreed-upon hours of operation at the Site. Location and Accommodations for Integrated Care Delivery OCHN’s staff will operate on-site at the OCHD Southfield location. OCHN and OCHD will provide workspace and phones for all staff, along with accommodation necessary and appropriate for OCHN staff to deliver the services outlined in this scope of work. This includes offices configured for the delivery of services in a manner compliant with applicable regulations including, but not limited to, those regarding privacy and confidentiality, access to internet, and any other technology required by OCHN to provide the services under the agreement. OCHN will supply its staff with computers and other supplies necessary to perform their duties. However, the OCHD shall be solely responsible for the installation and maintenance of communication infrastructure to support the function of OCHN’s hardware. Coding, Data Collection, and Reports OCHN will utilize the ODIN system for billing and data collection for individuals receiving behavioral health services. To manage follow-up after the initial services have been rendered, OCHN and OCHD will track referrals made to OCHN. Out of Scope: Crisis Level Care OCHN shall not provide crisis level care at the Site. The parties acknowledge that the facility is not adequately staffed or configured to provide such services and OCHN shall bear no obligation to undertake such modifications. If an individual exhibits signs of needing crisis level care, OCHN will not conduct any preliminary triage or screening. Instead, OCHN RS/Screener staff will facilitate a warm transfer to the appropriate crisis provider or hospital. OCHN bears no obligation regarding the transportation of such individuals to the appropriate facility or any further care or treatment costs. For the purposes of this clinic, a "crisis" involves the following criteria: •A situation in which an individual is experiencing the signs and symptoms of a serious behavioral health disorder, and one of the following applies: o The individual can be expected within the near future to physically injure himself or another individual, either intentionally or unintentionally o The individual is unable to provide himself food, clothing, or shelter, or to attend to basic physical activities such as eating, toileting, bathing, grooming, dressing, or ambulating, and this inability may lead soon to harm to the individual or another individual; or o The individual’s judgment is so impaired that he is unable to understand the need for treatment and, in the opinion of the behavioral health professional, his continued behavior because of the behavioral health disorder can be expected soon to result in physical harm to the individual or to another individual. Other crisis services within OCHN’s Behavioral Health Crisis Care Continuum Model, such as crisis screening, intervention, and psychiatric consultation, will be accessible through OCHN’s provider network. Service coordination will be managed through the network for services such as mobile crisis, transportation, respite, intensive crisis residential, intensive crisis stabilization, partial hospitalization, and transitional housing, as appropriate and as available. Restrictions on Prescribing Medications OCHN will not prescribe prescriptions for individuals seeking care. Page 1 of 2 ATTACHMENT B INSURANCE REQUIREMENTS During this Memorandum of Understanding ("MOU"), the OCHN shall provide and maintain, at their own expense, all insurance as set forth and marked below, protecting the County against any Claims, as defined in this MOU. The insurance shall be written for not less than any minimum coverage herein specified. Primary Coverages Commercial General Liability Occurrence Form including: (a) Premises and Operations; (b) Products and Completed Operations (including On and Off Premises Coverage); (c) Personal and Advertising Injury; (d) Broad Form Property Damage; (e) Independent Contractors; (f) Broad Form Contractual including coverage for obligations assumed in this Contract; $1,000,000 – Each Occurrence Limit $1,000,000 – Personal & Advertising Injury $2,000,000 – Products & Completed Operations Aggregate Limit $2,000,000 – General Aggregate Limit $ 100,000 – Damage to Premises Rented to You (formally known as Fire Legal Liability) Workers’ Compensation Insurance with limits statutorily required by any applicable Federal or State Law. 1. ☐ Fully Insured or State approved self-insurer. 2. ☐ Sole Proprietors must submit a signed Sole Proprietor form. 3. ☐ Exempt entities, Partnerships, LLC, etc., must submit a State of Michigan form WC-337 Certificate of Exemption. Commercial Automobile Liability Insurance covering bodily injury or property damage arising out of the use of any owned, hired, or non-owned automobile with a combined single limit of $1,000,000 each accident. This requirement is waived if there are no company owned, hired or non-owned automobiles utilized in the performance of this Contract. Commercial Umbrella/Excess Liability Insurance with minimum limits of $2,000,000 each occurrence. Umbrella or Excess Liability coverage shall be no less than following form of primary coverages or broader. This Umbrella/Excess requirement may be met by increasing the primary Commercial General Liability limits to meet the combined limit requirement. Supplemental Coverages – As Needed 1. ☒ Professional Liability/Errors & Omissions Insurance (Consultants, Technology Vendors, Architects, Engineers, Real Estate Agents, Insurance Agents, Attorneys, etc.) with minimum limits of $1,000,000 per claim and $1,000,000 aggregate. 2. ☒ Commercial Property Insurance. The OCHN shall be responsible for obtaining and Page 2 of 2 maintaining insurance covering their equipment and personal property against all physical damage. 3. ☒ Cyber Liability Insurance with minimum limits of $1,000,000 per claim and $1,000,000 aggregate. 4. ☐ Other Insurance Coverages as may be dictated by the provided product/service and deemed appropriate by the County Risk Management Department. General Insurance Conditions The aforementioned insurance shall be endorsed, as applicable, and shall contain the following terms, conditions, and/or endorsements. All certificates of insurance shall provide evidence of compliance with all required terms, conditions and/or endorsements. 1. All policies of insurance shall be on a primary, non-contributory basis with any other insurance or self-insurance carried by the County; 2. Any and all deductibles or self-insured retentions shall be assumed by and be at the sole risk of the OCHN; 3. OCHN shall be responsible for their own property insurance for all equipment and personal property used and/or stored on County property; 4. The Commercial General Liability and Commercial Automobile Liability policies along with any required supplemental coverages shall be endorsed to name the County of Oakland and it officers, directors, employees, appointees and commissioners as additional insured where permitted by law and policy form; 5. The OCHN shall require its contractors or sub-contractors, not protected under the OCHN’s insurance policies, to procure and maintain insurance with coverages, limits, provisions, and/or clauses equal to those required in this MOU; 6. Certificates of insurance must be provided no less than ten (10) Business Days prior to the County’s execution of the Contract and must bear evidence of all required terms, conditions and endorsements; and
