HomeMy WebLinkAboutMinutes - 2025.11.20 - 42654OAKLAND COUNTY VEBA BOARD MINUTES The Oakland County Voluntary Employees' Beneficiary Association (VEBA) Board meeting was held November 20, 2025, at 3:47 p.m. in the Canvasing Room in the Elections Office. I. Call to Order/ Roll Call Members Present: Joseph Rozell, Jeffrey Phelps, Robert Wittenberg, Brian J. Lefler, David Woodward, Linnie Taylor, Casey Crampton, James Van Leuven, Dion Stevens Members Absent: with notice Others Present: Carly Webster, Human Resources Kelly Pena, Human Resources Aaron Castle, VMT Law Stephanie Biddle, Empower Thomas May, Empower II. Approval of the Agenda A. Moved by Taylor, seconded by Woodward to approve the agenda as submitted. Motion carried. III. Public Comment None IV. Consent Agenda A. Approval of the October 23, 2025, VEBA Board minutes B. Medicare Reimbursement payroll — 11/28/25 C. Investment Manager Invoices D. Service Provider Invoices/projected monthly fees E. Use of forfeitures for RHS participant costs. Moved by Van Leuven, seconded by Wittenberg to approve the consent agenda, as submitted. Motion carried. V. Regular Agenda None VI. Reports A. Moved by Van Leuven, seconded by Woodward to receive and file the Hand Benefits & Trust/BPAS 3rd Quarter 2025 RHS Plan — Trust Asset Report. Motion carried. B. Paul Zelenak presented the Treasurer's report. Moved by Phelps, seconded by Stevens to receive and file the Treasurer's Report. Motion carried C. Secretary Webster and Stephanie Biddle updated the board on the Retirement Health Savings transition to Empower. Oakland County VEBA Board Minutes November 20, 2025 Page 2 Motion by Taylor, seconded by Stevens, to terminate the contract with Hand Benefits & Trust/BPAS and enter into a custodial agreement contract with Empower for the Retirement Health Savings accounts for Oakland County. Motion carried. Secretary Webster will reach out to Corporation Counsel regarding the Administrative Services contract termination with Optum and new contract with Empower. D. Aaron Castle of VMT Law did not have any additional comments to his legal report containing information regarding Legislative Updates. VI1. Unfinished Business A. The DBNEBA Investment Consulting Services Interviews held by the Investment Subcommittee on November 19, 2025, was discussed. Moved by Van Leuven, seconded by Phelps to enter into contract negotiations for DB and VEBA Investment Consultant services with Graystone Consulting from Morgan Stanley. Motion carried. VIII. New Business None IX. Trustee Comment A. Chairperson Rozell noted the next meeting of this Board — Thursday, December 18, 2025 B.
