INTRODUCTION AND BACKGROUND
The Rochester Hills-Oakland-Rochester Older Persons’ Commission (OPC) and Oakland County
have agreed to Amendment 2026-1 to the Public Transportation Agreement set forth in the attached
Amendment, to add a new subsection (f) to Section 8 of Exhibit B. The parties acknowledge that
Exhibit B Budget subsection 8 (f) was inadvertently omitted from the contract.
POLICY ANALYSIS
On October 30, 2025, the Board of Commissioners approved Resolution #2025-5833 with OPC to
provide public transportation services in Oakland County. After execution, it was discovered that
Subsection 8. (f) of Exhibit B (OPC Budget) was inadvertently omitted from the Contract. This
amendment corrects that omission.
• This subsection addresses compliance with Oakland County’s Competitive Bid Requirements
when hiring third parties to complete facility work.
• There is no financial impact from this amendment.
FISCAL IMPACT: No Budget Amendment Needed

AMENDMENT DATE: January 13, 2026
This AMENDMENT OF INTERLOCAL CONTRACT (hereafter this "Amendment") is made and entered into by and
between the Contractor named and identified below, (hereafter “Contractor”) and the COUNTY OF OAKLAND
(hereafter “County”) whose address is 2100 Pontiac Lake Rd, Waterford, MI 48328.

The County and Contractor agree and acknowledge that the purpose of this Amendment is to modify as
provided herein and otherwise continue the present contractual relationship between the Parties as described
in their current contract with the same contract number as above (the “Contract”).
In consideration of the extension of the mutual promises, representations, assurances, agreements, and
provisions in the Contract and this Amendment, the adequacy of which is hereby acknowledged by the Parties,
the County and Contractor hereby agree to amend the current Contract as follows:
1.0 The County and Contractor agree that any and all defined words or phrases in the current Contract
between the parties will apply equally to and throughout the amendment.
2.0 The Parties agree that any and all other terms and conditions set forth in the current Contract between
the Parties shall remain in full force and effect and shall not be modified, excepted, diminished, or
otherwise changed or altered by this Amendment except as otherwise expressly provided for in this
Amendment.
2.1 The Parties acknowledge that Subsection 8. (f) of Exhibit B (OPC Budget) was inadvertently omitted from
the Contract, though they intended for it to be included.
3.0 Description of Change:
3.1 Exhibit B (OPC Budget) of the Contract is amended to add a new subsection (f) to Section 8 (Facility
Expenditures), which shall read as follows:

“f. OPC shall comply with Oakland County’s Competitive Public Bid Requirements when hiring
third parties to complete facility work:
i. Requirement for Competitive Bidding: OPC shall not engage any third parties to
perform any services without first conducting a competitive public bidding
process.
ii. Bid Process:
1. OPC shall prepare and issue a Request for Proposals (RFP) for the services
to be performed, which shall be publicly advertised to ensure broad
competition.
2. The RFP must include a comprehensive description of the services to be
performed, selection criteria, and submission deadlines. The
advertisement must remain open for a minimum of 30 days to allow
adequate time for potential bidders to respond.
iii. Selection of Vendor: OPC shall evaluate all bids received based on the criteria
outlined in the RFP. The selection of the winning bid shall prioritize quality, cost-
effectiveness, and the vendor’s qualifications. A written record of the evaluation
process and the rationale for selecting the chosen vendor must be maintained.
iv. Compliance and Accountability: OPC is responsible for ensuring that all services
performed comply with applicable laws and regulations.”
For and in consideration of the mutual assurances, promises, acknowledgments, warrants, representations, and
agreements set forth in the Contract and this Amendment, and for other good and valuable consideration, the
receipt and adequacy of which is hereby acknowledged, the undersigned hereby execute this Amendment on
behalf of the County and Contractor and, by doing so legally obligate and bind the County and Contractor to the
terms and conditions of this Amendment.
Authorization and Completion of Amendment. The Parties have taken all actions and secured all approvals
necessary to authorize and complete this Amendment of Interlocal Contract. The persons signing this
Amendment on behalf of each Part y have legal authority to sign this Amendment and bind the Parties to the
terms and conditions contained herein.

IN WITNESS WHEREOF, Renee Cortright, Executive Director, Rochester Hills-Oakland-Rochester Older Persons’
Commission, hereby acknowledges that she has been authorized by a resolution of the Rochester Hills-Oakland-
Rochester Older Persons’ Commission, a certified copy of which is attached, to execute this Amendment on behalf
of Public Body and hereby accepts and binds Public Body to the terms and conditions of this Amendment.
