ITEM CATEGORY SPONSORED BY Lease Yolanda Smith Charles INTRODUCTION AND BACKGROUND As owner of the 51111 Woodward building in Pontiac, Michigan, the County has a lease with Hispanic Autism Services of Michigan for approximately 3,000 square feet on the first floor. Amendment #1 to the Lease would extend the lease term to October 31, 2027 with the annual and monthly base rent as provided in Amendment #1. POLICY ANALYSIS The original Hispanic Autism Services of Michigan lease was transferred to Oakland County through the purchase of 51111 Woodward (RESOLUTION #2023-3203 _ 23-128). This amendment extends the lease term by 2 years and is retroactive to November 1, 2025. There is no significant change in the rental rate. Note: The original lease expired January 31, 2025. The amendment is retroactive to November 1, 2025. While the original lease included a holdover provision of rent equal to 125% of the rent payable for the last year of the lease term, it is unclear at this time why the lease was not renewed timely, retroactive to January, or what rental rate was charged during this time. NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners approves the attached Amendment #1 to the Lease and directs its Chair or their designee to execute the attached Amendment #1 and all other related documents between the County of Oakland and Hispanic Autism Services of Michigan which may be required. Lisa Brown, Oakland County Clerk / Register of Deeds Page 1 of 2 1st Lease Amendment Final Version AMENDMENT #1 TO LEASE AGREEMENT BETWEEN This First Amendment (1st Amendment) is entered into between the County of Oakland, located at 1200 North Telegraph Road, Pontiac, MI 48341 (“Landlord”) and ASD Latinos Unlimited, LLC (d/b/a Hispanic Autism Services of Michigan) at 51111 Woodward Avenue, Suite 150, Pontiac, MI 48342 (“Tenant”). A. The previous owner of the Building and Tenant entered into a lease with a term commencing November 1, 2021 (“Original Lease”). Landlord purchased the building in August 2023 and the Original Lease was assigned and transferred to Landlord. B. The Parties desire to amend the Original Lease to extend the Lease and to modify certain other provisions set forth herein. C. In consideration of the mutual covenants contained herein, the Parties agree to amend the Agreement as follows: ST AMENDMENT 1. Background. The Background is incorporated into the Agreement. 2. Description of Demised Premises. The description of the Demised Premises contained in the Original Lease is 3,000 rsf in Suite 150. 3. Term. The Term is hereby extended for two (2) years effective on November 1, 2025 and expiring on October 31, 2027 4. Base Rent. Base Rent shall change and is now set forth in the table below: 5. Continued Effect. All other terms and conditions of the Agreement shall continue with full force and effect, except as modified herein. 6. Entire Agreement. This 1st Amendment, and the Original Lease constitute the entire agreement and understanding between Tenant and Landlord and supersede any and all other prior oral or written understandings, communications or agreements between Tenant and Landlord.
