INTRODUCTION AND BACKGROUND
As owner of the 51111 Woodward building in Pontiac, Michigan, the County has a lease with the
Oakland Literacy Council for approximately 4,113 square feet on the seventh floor. Amendment #1
to the Lease would reduce their space to approximately 2,390 square feet with the annual and
monthly base rent as provided in Amendment #1.
POLICY ANALYSIS
The original Oakland Literacy Council lease was transferred to Oakland County through the
purchase of 51111 Woodward (RESOLUTION #2023-3203 _ 23-128). The term of the lease was
effective April 1, 2023 for 66 months (ending September 30, 2028). The purpose of this amendment
is to reduce the amount of space rented from 4,113 sq. ft. to 2,390 sq. ft. and modify rent
accordingly. Additional changes under this amendment include incorporating a right to terminate
clause for the Landlord (Oakland County) with a 90-day provision.
In addition to this lease agreement, Oakland County has a contract with Oakland Literacy Council
for the adult literacy program.

Facilities Management - Amendment #1 to Lease Agreement with Oakland Literacy Council for

Chair and Members of the Board:
WHEREAS the owner of the 51111 Woodward building in Pontiac, Michigan, the County has a lease
with Oakland Literacy Council for approximately 4,113 square feet on the first floor; and
WHEREAS Amendment #1 to the Lease would reduce the square footage to 2,390 for the lease term
of January 1, 2026 to September 30, 2028 with the monthly base rent and a ninety (90) calendar day
written notice to terminate as provided in Amendment #1; and
WHEREAS Oakland County Corporation Counsel and the Department of Facilities Management have
reviewed the attached Amendment #1 to the Lease with Oakland Literacy Council; and
WHEREAS the Department of Facilities Management recommends the Oakland County Board of
Commissioners approve and authorize the execution of the attached Amendment #1.
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners approves
the attached Amendment #1 to the Lease and directs its Chair or their designee to execute the
attached Amendment #1 and all other related documents between the County of Oakland and
Oakland Literacy Council which may be required.

AMENDMENT #1 TO LEASE AGRE EMENT BETWEEN
THE COUNTY OF OAKLAND AND
OAKLAND LITERACY COUNCIL
This First Amendment (1st Amendment) is entered into between the County of Oakland, located at
1200 North Telegraph Road, Pontiac, MI 48341 ("Landlmd") and Oaldand Literacy Council located
at 51111 Woodward Avenue, Suite 720, Pontiac, MI 48342 ("Tenant").
BACKGROUND
A, The previous owner of the Building and Tenant entered into a lease with a term commencing
April 1, 2023 ("Original Lease"). Landlord purchased the building in August 2023 and the
Original Lease was assigned and transfetTed to Landlord.
B.The Parties desire to amend the Original Lease to reduce the square footage of the Demised
Premises and to modify certain other provisions set forth herein.
C.In consideration of the mutual covenants contained herein, the Parties agree to amend the
Agreement as follows:

I.Background. T11e Background is incorporated into the Agreement.
2.Description of Demised Premises. The description of the Demised Premises contained in
Section I of the Original Lease is amended as follows: the Demised Premises is reduced to
2,390 square feet from 4,113 square feet. Exhibit A of the Original Lease is deleted and
replaced with Attachment A, which is attached and incorporated into this I st Amendment.
3.Base Rent. Base Rent shall change and is now set forth in the table below:

4.Right to Terminate. Section 35 to the Original Lease is added and it shall provide the
following: "Notwithstanding any other provision in this Lease to the contr ary, Landlord may
terminate this Lease, at any time, for any reason, including convenience, upon ninety (90)
calendar days written notice to Tenant. Upon termination of the Lease pursuant to this
Section, neither Party shall have any further obligations to the other except for those
obligations that expressly survive the expiration or termination of this Lease.
5.Continued Effect. All othertenns and conditions of the Agreement shall continue with full
force and effect, except as modified herein.
6.Entire Agreement. This I st Amendment, and the Original Lease constitute the entire
agreement and understanding between Tenant and Landlord and supersede any and all other
