ITEM CATEGORY SPONSORED BY Lease Yolanda Smith Charles INTRODUCTION AND BACKGROUND As owner of the 51111 Woodward building in Pontiac, Michigan, the County has a lease with the Oakland Literacy Council for approximately 4,113 square feet on the seventh floor. Amendment #1 to the Lease would reduce their space to approximately 2,390 square feet with the annual and monthly base rent as provided in Amendment #1. POLICY ANALYSIS The original Oakland Literacy Council lease was transferred to Oakland County through the purchase of 51111 Woodward (RESOLUTION #2023-3203 _ 23-128). The term of the lease was effective April 1, 2023 for 66 months (ending September 30, 2028). The purpose of this amendment is to reduce the amount of space rented from 4,113 sq. ft. to 2,390 sq. ft. and modify rent accordingly. Additional changes under this amendment include incorporating a right to terminate clause for the Landlord (Oakland County) with a 90-day provision. In addition to this lease agreement, Oakland County has a contract with Oakland Literacy Council for the adult literacy program. NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners approves the attached Amendment #1 to the Lease and directs its Chair or their designee to execute the attached Amendment #1 and all other related documents between the County of Oakland and Oakland Literacy Council which may be required. Lisa Brown, Oakland County Clerk / Register of Deeds I I I' AMENDMENT #1 TO LEASE AGRE EMENT BETWEEN THE COUNTY OF OAKLAND AND OAKLAND LITERACY COUNCIL This First Amendment (1st Amendment) is entered into between the County of Oakland, located at 1200 North Telegraph Road, Pontiac, MI 48341 ("Landlmd") and Oaldand Literacy Council located at 51111 Woodward Avenue, Suite 720, Pontiac, MI 48342 ("Tenant"). BACKGROUND A, The previous owner of the Building and Tenant entered into a lease with a term commencing April 1, 2023 ("Original Lease"). Landlord purchased the building in August 2023 and the Original Lease was assigned and transfetTed to Landlord. B.The Parties desire to amend the Original Lease to reduce the square footage of the Demised Premises and to modify certain other provisions set forth herein. C.In consideration of the mutual covenants contained herein, the Parties agree to amend the Agreement as follows: JST AMENDMENT I.Background. T11e Background is incorporated into the Agreement. 2.Description of Demised Premises. The description of the Demised Premises contained in Section I of the Original Lease is amended as follows: the Demised Premises is reduced to 2,390 square feet from 4,113 square feet.
