HomeMy WebLinkAboutResolutions - 2009.10.14 - 9912& BUILDING COMMITTEE MISCELLANEOUS RESOLUTION #09228 September 24, 2009 BY: Planning & Building Committee, John Scott, Chairperson IN RE: PLANNING AND ECONOMIC DEVELOPMENT SERVICES' DIVISION - MEMORANDUM OF UNDERSTANDING (NIOU) BETWEEN OAKLAND COUNTY PLANNING AND ECONOMIC DEVELOPMENT SERVICES AND THE MICHIGAN SMALL BUSINESS & TECHNOLOGY DEVELOPMENT CENTER (MI-SBTDC) TO COOPERATE IN SUPPORT OF TRAINING AND COUNSELING SERVICES To the Oakland County Board of Commissioners Chairperson, Ladies and Gentlemen: WHEREAS the Oakland County Business Center is a department of the Oakland County Planning & Economic Development Services Division and provides training, counseling and referral services to Oakland County smail businesses; and WHEREAS the Michigan Small Business 8, Technology Development Center (MI-SBTDC) is a partner program of the U.S. Small Business Administration (SBA), providing technical assistance, market research and one-on-one counseling to small companies, and WHEREAS the MI-SBTDC Region 9 office located at Eastern Michigan University provides training, counseling and research services to Wayne, Oakland and Monroe County small businesses in support of the SBA's initiative; and WHEREAS the MI-SBTDC Region 9 office has a strong presence in Wayne and Monroe Counties due to strong ongoing [coal collaborations with Scrioo!craft College, TechTown and the Monroe County Industrial Development Corp but no longei- has a format collaboration in Oakland County since the expiration of its MOU with Walsh CoVege (in June 2006): and WHEREAS the Oakland County Business Center has had an ongoing informal relationship with the MI- SBTDC in which the MI-SBTDC has provided trainers to conduct small business workshops and business consultants to counsel Oakland County small businesses at the Executive Office Building; and WHEREAS heightened awareness of Oakland County Business Center services continues to place heavy demands on its limited staff (2.5 F-7 eauivalents) whose expansion is restricted by the current Oakland County hiring freeze: WHEREAS a Memorandum of Understanding (MOU) has been drafted (as attached) by the Michigan Small Business & Technology Deveiopment Center (MI-SBTDC) to reflect this collaborative opportunity; and WHEREAS the Oakland County Business Center wil provide a workspace for the part-time MI-SBTDC consultant and private counseling space for the confidential counseling sessions that are scheduled to be held at the Oakland County Business Center location; and WHEREAS the MI-SBTDC will provide a mutually acceptable dedicated part-time business consultant for at least 16 hours per week; and WHEREAS the Oakland County Business Center will schedule appointments with qualified clients for normal MI-SBTDC consulting services and WHEREAS the Ml-SBTDC will provide mutually acceptable training professionals for all Oakland County Business Center training programs that are assigned to tne MI-SBTDC Regional Office; and WHEREAS the MI-SBTDC invites the Oakland County Business Center staff to participate in all appropriate MI-SBTDC program development and professional development activities at no cost or at in- network reduced cost: and WHEREAS there will be no exchange of funds between the Oakland County Business Center and the MI- SBTDC; and WHEREAS tne MOU has been reviewed and approved by Corporation Counsel: and WHEREAS this MOU wit constitute a partnership that eliminates duplication of effort between the Oakland County Business Center am the MI-SBTDC, providing services to Oakland County valued at $75000. NOW THEREFORE BE IT RESOLVED that the Board Chairperson is aut .-led to execute the MOU with the MI-SBTDC on behalf of Oakland County, and hereby accepts anybiOds Oaklanounty to the roles and responsibilities of this MOL. Adminatmoion ECONOMIC DEVE,..O.LIEN- C.9..OPAT,ON July 29, 2009 Ms. Maureen Krauss Ms. Lola Are Oakland County Economic Development and Community Affairs County Service Center 2100 Pontiac Lake Rd., Dept. 412 Waterford, MI 48328 Re: Memorandum of Understanding Dear Maureen and Lola: This memo describes the proposed programmatic relationship between the Michigan Small Business and Technology Development Center (MI- SBTDC) Region office located at Eastern Michigan University (MI- SBTDC Regional Office) and the Oakland County Economic Development and Community Affairs Business Center (Oakland County Business Center). A. Background The Oakland County Business Center provides Oakland County businesses with a broad range of business development and county information services. For the past several years, the MI-SBTDC Regional Office has provided a growing complement of training services at the Oakland County Business Center. During the past year, those training services have been complemented by one-on-one counseling services by MI-SBTDC Regional Office staff at the Oakland County Business Center site. To facilitate enhanced business development services at the Oakland County Business Center and to ensure seamless interaction with the MI-SBTDC Regional Office, we have agreed to establish this memorandum of understanding to describe our respective roles in this relationship. What follows are the responsibilities that we each intend to complete beginning on August 1, 2009. Counseling • Training • Research B. MI-SBTDC Responsibilities The MI-SBTDC Regional Office agrees to: I. Provide a mutually acceptable dedicated part-time business consultant for at least 16 hours per week. The MI-SBTDC Regional Office would cover employment expenses for that consultant including mileage to off site locations according to the expense rules of Eastern Michigan University. Mileage to the Oakland County Executive Office would be the consultant's responsibility 2. Provide mutually acceptable training professionals for all Oakland County Business Center training programs that are assigned to the MI-SBTDC Regional Office. 3. Invite the Oakland County Business Center staff (Senior Business Development Representative, Small Business Analyst and Business Consultant Assistant) to participate in all appropriate MI-SBTDC program development and professional development activities at no cost or at in-network reduced cost, including: • National network meetings • Statewide network meetings • Region and Regional Cluster meetings • Basic and advanced certification trainings • Network professional development webinars • Special professional development training for programs such as Fiscal Fitness. Strategy Matrix. Strategic Needs Assessment, technology business development, export planning, intake management and others. 4. Include the Oakland County Business Center staff in data collection and information sharing vehicles utilized by the MI-SBTDC including: • TGIF statewide weekly information e-mail distribution • Center IC Client Record Database • MI-SBTDC Wch Based Information Portal 5. Include Oakland County Business Center activities in all appropriate MI-SBTDC marketing and press activity including: • MI-SIITDC website • Press releases • Annual report • Brochures • Business cards • SBA Success Stories • SBA website C. Oakland Count). Business Center Responsibilities The Oakland County Business Center agrees to: 1. Provide a workspace for the part-time MI-SBTDC consultant and private counseling space for the confidential counseling sessions that are scheduled to be held at the Oakland County Business Center location. The workspace should include a telephone, computer and office supplies for the consultant's use while on the business center site. 2. Assistance with scheduling appointments with qualified clients for normal MI-SBTDC consulting services. 3. Adhere to SBA counseling guidelines pertaining to client confidentiality and consultant conflict of interest restrictions. 4. Maintain proper documentation of program activity in the Center IC online database system for those clients that the Oakland County Business Center wishes to track via MI- SBTDC system. The MI-SBTDC consultant will track all of their activity in this database. 5. Include MI-SBTDC signage on-site and logo display with SBA partnership mention on marketing communications and acknowledge Eastern Michigan University as MI- SBTDC Regional host in marketing communications, as appropriate, 6. Submit quarterly confirmation with proper documentation of cash expenditures that will be recognized as cash contribution to the execution of the MI-SBTDC program. It is understood that these tracked expenditures will be the staff time that is assigned to MI- SBTDC program eligible activities. A summary of program eligible activities is included in Attachment A. 7. Adhere to SBA rules on disability access and restrictions on lobbying. D. Matching Funds The Oakland County Business Center staff salaries can be included in MI -SBTDC.• Regional office matching funds for purposes of the region's Small Business Administration grant for all staff that carry out MI-SBTDC activities listed in Attachment A. The Oakland County Business Center agrees to maintain documents showing matching funds and to provide quarterly reports to the SBTDC Regional or State Office. In order to be counted as match, expenditures must be for staff salaries or consultant fees and conform to generally accepted accounting principles; OMB Circulars A-87, A-102, and Common Rule; and State MI- SBTDC policy notices. E. Special Terms The MI-SBTDC receives funding from the Small Business Administration and this agreement is subject to continued funding. During the initial probationary period, both parties reserve the right to completely terminate the Agreement upon notice to the other party. This agreement will be automatically renewed on an annual basis beginning January 1 of each year. Following the probationary period, both parties reserve the right to completely terminate this Agreement upon one hundred twenty (120) days written notice to the other party. All notices must be in writing and sent by U.S. mail or recognized overnight courier service.
